    Company Lawyer

    Purpose of the position:

    • Responsible mainly for corporate law matters for the holding company and its 30 subsidiaries located in South Africa.

     

    Responsibilities include:

    • Company secretarial functions inter alia ensuring compliance with statutory and regulatory requirements
    • Managing the meetings of the Board of directors and the shareholders including setting agenda
    • Drafting and reviewing the minutes of the meetings (of the Board and the shareholders) and ensuring that these minutes are properly recorded in accordance with the Companies Act.
    • Ensuring compliance of the companies with the Memorandum of Incorporation and other agreements (such as shareholders agreement)
    • Development and implementation of corporate delegations of authority and policies and procedures
    • Ensuring statutory documents / records are up to date and in safekeeping and updating corporate information and effecting corporate changes in directorship / shareholding / bank mandates, etc. (in collaboration with outsourced legal services providers where applicable)
    • Legal support to the group companies for corporate legal related matters (including monitoring changes in law and regulation and making directors and officers of the companies aware of any law relevant to the companies)
    • Administrative tasks such as assistance with preparing correspondence, organizing and maintaining documents and records in a paper and/or electronic filing systems
    • Reviewing, drafting and negotiating key business contracts (including real estate and commercial contracts)
    • Drafting, reviewing the M&A contracts (NDA, LOI, share purchase agreement, shareholders agreement, etc.) and ensuring the contract management for the M&A contracts entered into by the companies
    • Advice on, application for, facilitation and coordination of required licences and permits (in collaboration with outsourced legal services providers where applicable)
    • Monitoring any ongoing litigation and liaising with external legal advisors (as required)

    Minimum Requirements

    • Admitted Attorney or Advocate
    • At least 7 years relevant experience within a corporate environment
    • Automotive Industry experience would be an added advantage
    • Must have deep knowledge and understanding of Companies Act 71 of 2008
    • Knowledge of national legislation and regulation (including BEE regulations) Excellent verbal and written English communication skills
    • Good planning and organisational skills Strict attention to detail; deadline oriented Strong integrity, discretion and honesty
    • Good judgment, analytical; conceptual thinking Work independently and as a part of a team
    • Ability to adapt in an international environment
