Key Responsibilities

Provision of legal structuring, advisory, transaction execution, project and other legal support in respect of a broad range of matters across various sectors and jurisdictions, including:

• Commercial transactions relating to the Company’s business projects, investments and commercial operations
• Draft and review of commercial agreements in the context of transnational jurisdictional law
• Draft and review shareholder agreements, memorandums of incorporation, sale of share agreements, purchase of shares, dividend declarations, resolutions, waiver of pre-emptive rights, transfer of shares etc. Regulatory and compliance matters
• Ensuring legal processes are in place for purposes of risk management and reporting
• Researching and monitoring ongoing legal, regulatory and market developments in relevant business areas
• Collect and analyse information on legal issues and propose solutions
• Research and providing legal opinions and comments on legislation
• Claims and liabilities, including management of legal and regulatory proceedings;
• Coordinating execution of transactions by working closely with clients and management, liaising with internal and external advisers, and with banks and other third parties
• Develop and maintain legal systems to record, control all legal documents including appropriate software
• Tender management and contractual negotiations
• Employment and labour matters
• Manage company and project insurance liability
• Commercial project management and delivery

• General legal advisor responsibilities

Minimum Criteria

• LLB degree (or equivalent)
• Admitted attorney or advocate
• At least 5 years’ as a practicing lawyer either with a reputable law firm or a corporation
• Extensive experience in commercial and corporate law
• Demonstrated ability to make commercially astute decisions and take clear position on complex issues; and
• Ideally experience in various African regions

Technical competencies

• Strong commercial legal background either in-house or at a reputable law firm
• Understanding of transnational transactions
• Excellent negotiation, drafting and communication skills
• Strong business/commercial acumen
• A strong competency in strategic business & market intelligence
• Must have exposure to cross border correspondence
• Reasonable financial and economic literacy
• Ability to interpret and understand legalisation in a solutions-orientated and business-minded way
• Experience in various sectors (finance, mining, infrastructure etc.)
• Project management skills
