    Legal Counsel (Commercial)

    The Role

    The role of Legal Counsel is to provide and perform legal services to all Aon locations in Southern Africa where Aon has offices or activities in line with Aon’s global risk and ethics standards and in accordance with local legislation.

    To work closely with other members of the Law Division and Corporate Compliance, both in Southern Africa and globally within Aon. Please note this is a temporary position. This position complies with the Company’s Employment Equity Policies.

    As Legal Counsel some of your key responsibilities will include:

    • Provide pro-active legal advice, guidance and assistance on all legal commercial matters.
    • Evaluate and manage legal risk.
    • Draft, review, negotiate and amend legal documentation (including but not limited to agreements with clients, insurers and third parties).
    • Review, negotiate, draft, amend commercial agreements, examples include service level agreements, indemnity forms and disclaimers, intermediary agreements, lease agreements, non-disclosure agreements, settlement, donation and sponsorship agreements.
    • Provide legal guidance and support on existing contractual matters, e.g. breaches, terminations and amendments to contracts.
    • Review, draft and provide tender documentation.
    • Draft, review, update, implement and ensure consistent use of "best practice" Aon standard agreements, processes, playbooks and guidelines.
    • Review and support the implementation of Aon policies and procedures.Actively assist and support the Legal and Compliance team, in Southern Africa and globally with the adoption and roll out of local and global initiatives and projects.
    • Develop training material and provide training.
    • Ensure accurate and on time reporting.
    • Instruct and manage external attorneys and associated costs when obtaining expert legal advises or services.
    • Ensure compliance with local laws and regulations and effective communication with local regulators, in consultation with Corporate Compliance.
    • Establish a good working relationship with business stakeholders and gain a "trusted advisor" role with the business
    • Develop a good understanding of the Aon business ensuring an Aon United approach.
    • Increase awareness of legal and regulatory matters within Aon.
    • Contribute towards the establishment of a sound legal risk management culture within Aon.
    • Assist in the rollout of Aon legal procedures to the business.
    • Responsible for working in accordance with Aon policies, including participation in the management of risks (including completion of mandatory training) that may adversely affect the business, interests or reputation of any Group Company.
    • Understand and follow the Aon Leadership Model and take ownership of personal development.
    • Maintain personal and professional development.

    Role-specific Technical Skills, Knowledge and Experience

    Qualifications

    • Be in possession of Grade 12 (Matric).
    • Have a Legal Qualification (LLB or similar).
    • Be admitted as an attorney in South Africa.
    • Post-graduate Legal qualification.

    • Has a good knowledge of legal areas referred to above as well as business and geographical environment?

    • Ability to liaise effectively with management and other stakeholders.

    • Absolute integrity, highest professional and ethical standards, and ability to influence to achieve compliant solutions.
    • Ability to gain credibility and trust at all levels
    • Excellent knowledge of English (written and verbal)
    • Supports the Legal and Compliance team and the Deputy and General Counsel in meeting the objectives of the Legal and Compliance department.

    Experience

    • 10 – 14 years post-qualification experience, be trained and qualified at a first-tier law firm.
    • Experience in both in private practice and a major international in-house Law Department.
    • Preferably have experience within the insurance, insurance broking, or other regulated financial services sectors.
    • Have a strong background in commercial contracting and corporate matters.
    • Have experience with both contentious and non-contentious matters, be able to support litigation and compliance matters, including strategic oversight in conjunction with global colleagues.
    • Have experience with international Corporate Compliance programs and local regulation specific to the Financial Services Industry.
    • Have experience throughout the Sub-Saharan African region.A proven record of successful business experience in a similar or related environment.
