Introduction
- This position will oversee various operational, corporate and regulatory related legal, contractual obligations and litigation matters. The ideal candidate will have 6 - 8 years post article experience.
Summary of Duties and Responsibilities
Real estate knowledge, including:
- Analyze property title and related property documentation to assess the legal feasibility to install telecommunication towers.
- Prepare various risk assessments regarding issues with the property title, mortgage bonds (if applicable) or the validity of contracts including alternatives to mitigate and control such risks. o Certify the title of property.
- Supervise the execution of ground contracts and related documents.
- Lead the registration of properties and contracts at the respective Deeds Offices in South Africa.
Manage all licensure and regulatory matters, and all administrative and litigation proceedings involving licensure and regulatory matters, including:
- Civil aviation authorities
- Telecommunications authorities o Land use development authorities
- Real estate ownership and brokerage
- Fuel storage tanks o Energy regulatory authorities o Deeds Offices
- Tax authorities o Corporate, commercial, real estate, succession, and similar laws and procedures
Establish (in conjunction with SBACC headquarters personnel) and implement policies relating to diligence and regulatory compliance, including:
- Title standards
- Compliance with environmental laws
- Compliance with licensure requirements
- Scope of work for outside consultants
- Risk management and assessments
- Corporate, tax and labor obligations
- FCPA and anticorruption policies
- Supervise corporate records and all corporate governance related matters
Handle all general contracting, including establishment (in conjunction with SBACC headquarters personnel) of forms of and negotiation of:
- Letters of intent o Build to suit agreements
- Construction agreements
- Maintenance agreements
- Service agreements o Brokerage agreements
- Confidentiality and Non-Disclosure agreements o Independent contractors
- Ground leases
- Tenant leases
- Office leases
- Other contracts related to tower development and operations, including the purchase of property, surface rights, usufructs, servitudes, one-off lump sum payments, loan agreements, trust, among others
Manage general representation of property management, including:
- Addressing general real estate questions
- Assisting in collections efforts o Read and interpret surveys and topographic drawings
Use the personal protection equipment in an appropriate manner, in accordance to safety policies and the position.
Comply with the company’s defined OHSE procedures and regulations.
Education and/or Experience:
- Admitted Attorney, with a minimum of a B.Com LLB or LLB qualification, required.
- 6-8 years of post-article experience, preferably in real estate transactions including, but not limited to landlord-tenant relations, development & construction.
- Wireless industry/Telecommunications knowledge preferred.
- Knowledge of general corporate and litigation matters strongly preferred.
- Ability to travel via air and/or ground transportation as needed.
