Senior Consultant, Corporate Finance at FTI Consulting

About the Role

We advise private equity, corporate and financial clients on financial and transactional matters across the deal life cycle. We assist clients in assessing price, funding requirements and other matters to be considered in the valuation, in the SPA and/or post deal. Our work includes a comprehensive analysis of key business performance drivers including quality of earnings, cash flows, working capital and net debt. We provide 
input into deal negotiations providing a cross-link from financial to SPA.
 

What You'll Do

The main purpose of the role is to provide clients with financial due diligence services which includes buy-side due diligence, sell-side due diligence, vendor assist services and exit readiness reviews. This will also entail managing and providing on the job coaching to junior staff. The core (day to day) responsibilities include:

• Develop an understanding of Target business and its drivers

• Performing financial reviews of target companies’ profitability, working capital cycles, cash flows and sustainability of earnings 

• Analysing and reviewing historical performance against budget and investigating reasons for variations

• Interrogating and reviewing forecast models in order to support transaction pricing

• Colloborate with engagement team and clients

• Clearly and effectively communicate findings to team members and clients

• Assisting in reviewing sale purchase agreements ("SPA") in order to provide transaction structuring advise

• Evaluating and reviewing target company operational models and forecast business plans

• Assisting with the carve-out process for sales of smaller business units

• Review and commentary of business sales documentation

• The preparation of financial due diligence reports

Qualifications & Experience

• CA / CFA or CIMA

• Preferably has big 4 experience in a Deals environment
