Legal Counsel at Gemalto

Job description

This function requires involvement in all legal matters and a daily contact with all levels of management covering this Region. The goal is to reconcile and determine the legal position in all questions raised by the clients. The achievement of this goal requires to review, evaluate and comment on the obligations that Gemalto could be taking in a business venture and to advise the appropriate function head of the degree legal risks associated with contract and obligations prior to Gemalto becoming a partner or otherwise becoming legally bound. The main responsibilities include:

Drafting and review of agreements. The drafting and review of agreements in an important daily activity that requires the identification ,assessment, and measurement of potential risks to create a carefully drafted implementation of suck risks within acceptable parameters, keeping in mind the business that the region desires to achieve;

Providing legal advices in the areas of significant company-wide impact in the formulation of the corporate strategic plan in the evaluation of new ventures and in major investment proposals. Such advices will help the company’s leadership team in identifying risks and opportunities they may not perceive otherwise. For each risk identifies determining the value exposed to loss, the event causing the loss, and the financial consequences of the loss;

To get to know the clients in depth to provide not only legal help but also participate in business decisions. This activity requires being in-the-trenches collaboration with the business team to earn real trust through the provision of real legal and business contribution;

Understanding of the business of Gemalto in the Region. Such understanding requires being fully knowledgeable with the following information: general operations, sales and income history, location of facilities, knowledge of products, principal customers, sales and marketing programs, environmental considerations, pending litigations and administrative proceedings

Experience, Education and Knowledge

• Minimum 3 - 5 years’ post articles experience, preferably as an in-house lawyer, and preferably in an industrial and/or IT/high-tech environment
• Relevant experience in international contracts, business law, company law and IP - related agreements Common law background
• Company secretarial background
• English speaking.
• Special training and relevant tertiary legal qualification
