What you will do in the role

As an experienced Finance Legal Counsel with a focus on the investment business, you will be representing Prodigy Finance’s interests and advising on legal matters, whilst offering business insight into legal issues that may arise. You will assist and work closely with the Head of Legal and the Legal Team to provide commercial legal advice to the business.

Specific responsibilities include:

Legal Projects:

• Reviewing and negotiating documents for bank lending transactions including warehouse facilities, syndicated facility agreements, security contracts and related banking documentation
• Managing the bank lending transaction post-contract and assisting with any amendments to the agreements
• Responsible for annually updating the Irish listed bond programme including liaising with Legal Counsel, Auditors and various parties involved in the programme
• First point of contact for all bond programme issues and providing legal input on all bond issuances under the programme; including reviewing processes and procedures, implementing best practice and reviewing cost structures
• Responsible for all aspects of the investor journey, including marketing, on-boarding and client issues
• Working with the Head of Regulation on ensuring compliance of investor activities with the FCA rules in the UK, the SEC rules in the US and in all relevant global jurisdictions; obtaining advice from external Legal Counsel on investor legal and regulatory compliance
• Working with the Investor Operations Team and Head of Capital Markets in addressing all investor operations issues
• Documenting all private investor note sale activities in the primary and secondary market
• Conducting due diligence and negotiating services agreements with appropriate service providers including brokers and custodians relating to the investor business

General:

• Legal review and negotiation of financing transaction documents and related contracts
• Conduct legal, factual research and records research
• Identify relevant judicial decisions, statutes, legal articles, codes and other pertinent material
• Organise and analyse information
• Cross-check and validate information
• Prepare written reports and correspondence
• Check and edit legal forms and documents for accuracy
• Build and maintain databases and organise and track case files
• Review and monitor new and updated laws and regulations
• Maintain and organise electronic legal library and opinions

What you will be accountable for

• Your ability to advise on a broad range of financial legal issues affecting a fintech company headquartered in the UK and operating in a very international environment
• Your ability to manage legal projects in foreign jurisdictions, work with local Counsel and interpret and apply foreign legal advice to the Prodigy Finance business model
• Sound knowledge of the law and ability to apply it in a way that is innovative, creative and solution orientated
• Problem-solving, ability to overcome obstacles and tackle the challenges that constantly arise in a growth environment

Who we are looking for; track record must haves

• SA or UK qualified lawyer from top law school
• Relevant post-qualification legal experience in a finance team with an emphasis on banking and/or structured finance and securities law and ideally some funds experience
• Ideally experience gained both at a reputable law firm and in-house at a bank or financial firm
• Excellent project management, administrative and communications skills
• Commercially minded, driven and able to advise on a broad range of legal matters and drive the business forward
• A sound knowledge and understanding of global markets and legal systems
• Good understanding of the UK legal and regulatory environment

Experience that would be nice to have

• Knowledge of US law a bonus
• UK and/or US experience highly desirable
• Fintech experience
• Startup experience. Sometimes the earth moves beneath your feet at Prodigy Finance so you've got to be comfortable with ambiguity, able to wear lots of hats, and adapt easily as we continue to grow
