    Corporate / Commercial Associate

    Job Description
    The following qualification and work experience is required:

    • LLB Degree
    • Admitted Attorney of the High Court of South Africa
    • Minimum of 3 year post admission experience specifically in corporate / commercial
    • Strong drafting skills
    • Being able to work independently
    • A keen intellect and the ability to work under pressure
    • Ability to manage multiple projects and delegate matters

    The duties and responsibilities for this position are detailed below, but not limited to:

    • Commercial agreements: drafting, negotiating, and reviewing agreements and advising on transactions in a broad range of sectors, including property, IT, finance, employment, agriculture and general supply chain interactions
    • Corporate governance: drafting memoranda of incorporation, shareholders’ agreements, procedures in respect of CIPC; drafting of board and shareholder resolutions
    • Mergers, acquisitions and restructuring: preparation of high level or comprehensive due diligence reports on behalf of prospective buyers, identifying legal risks associated with a business, preparation of agreements for corporate restructure transactions, such as: subscription agreements; sale of business agreements; share purchase agreements; and relationship agreements
    • Competition law advice and filings: advising on, and investigating competition law requirements, filing of mergers
    • Legislative compliance: advising clients, reviewing agreements and providing staff training to ensure compliance with key legislation, such as consumer protection, data protection, credit, competition, health and safety, and product labelling
    • Assisting in research on various aspects of companies and corporate law.
