    Manager, Risk & Compliance

    Job description

    PURPOSE:

    To coordinate enterprise risk management (ERM) reporting at all levels in the group through to all governance structures most notably the Exco and SRC of the Board, enabled by appropriate electronic systems/software To identify and ensure reporting by responsible functionaries of the material compliance KPIs based on the ERM framework which assists to identify the most relevant legislation and regulation the group must comply with as part of its licence to operate

    MAJOR CHALLENGES:

    Assigning ownership to risks and identifying control owners for responses to mitigate risks Linking risks identified to the strategic objectives of the group, commodity business, service function or business unit To ensure a culture of managing risks as opposed to merely reporting risks To ensure that risk owners are held accountable by linking the management of risks to their respective performance contracts Monitoring of risk and compliance priorities to ensure early identification of transgressions and potential adverse impacts for the group

    Qualifications:

    • LLB ( Essential/Minimum )
    • Master of Business Administration ( Essential/Minimum )
    • Management Development Programme ( Essential/Minimum )
    • B Degree (Hons) (Relevant) ( Essential/Minimum )
    • Magister Legum (LLM) ( Recommended/Desirable )

    EXPERIENCE:

    10 years Relevant risk and compliance management experience. Experience in risk practices, laws and regulations (including relevant regulatory or legislative frameworks) Application of risk and compliance systems- Essential/Minimum - Operational

    REQUIREMENTS:

    • Certificate of Fitness (Essential/Minimum)
    • Psychometric Assessment (Essential/Minimum)

    POSITION OUTPUTS:

    The incumbent will inter alia be responsible for the following:

    • Administration and Document Control
    • Periodic updating of the ERM framework and related policies to ensure best practice and alignment with relevant legislation and regulation
    • Strategic dashboards required for quarterly reporting to Exco and Board sub-committee on consolidated risks, performance on KPIs/metrics and associated risk thresholds, as well as status of compliance reporting in the group
    • Best Practice and Knowledge Management
    • Confer and share strategic and tactical information
    • Continuously monitor exchange and preservation of information between functions and individuals to facilitate effective knowledge management according to organisational objectives
    • Responsible for continuous improvement of all Compliance and Risk operations to ensure that customers receive maximum benefit and value. This includes keeping abreast of new leading practices, software developments and technologies in terms of Risk and Compliance
    • Create and maintain a repository of all relevant legal and regulatory requirements (or ensure access thereto) as well as best practice risk and compliance reporting
    • Compliance, Governance and Assurance
    • Implement systems and processes across the group to ensure integration and co-ordination of ERM and Compliance priorities
    • Assist business units and service functions in the quantification of Exxaro's compliance risks as defined in regulatory universe in terms of impact and probability
    • Assist in compiling the annual combined assurance plan
    • Assist with summaries and training on key legislative compliance relevant to the business
    • Customer and Client Relationship Management
    • Support core business by ensuring appropriate stakeholder- and investor relationships toward enhancing corporate profile
    • Manage internal and external relations, including interface with service providers as well as or functions responsible to ensure that business needs are met and employees are satisfied
    • Liaise and interact with relevant regulatory authorities where relevant to ensure compliance with regulatory requirements
    • Functional Excellence
    • Assist in the development and maintenance of functional policies, standards, guidelines, procedures, end-to-end processes, tools, templates etc. and enforce group-wide adherence to these.
    • Standardise, simplify and speed-up sub functional processes, eliminate duplication/bureaucracy.
    • Execute sub functional excellence initiatives.
    • Oversee and monitor functional activities at operations.
    • Identify and manage critical functional risks through appropriate mitigation plans/actions.
    • Functional Management
    • Financial management: Manage sub function’s budget (CC/BUs). Forecast/recover costs.
    • Performance management: Maintain high performance standards. Track and drive functional targets/goals, hold staff responsible for achieving results. Remove obstacles that interfere with performance, handle performance problems.
    • Engagement/communication: Communicate and engage functional employees, incl. virtuals. Engage with executives, operations and cross-functionally with peers.
    • Governance: Ensure function adheres to Exxaro governance, policies, standards, statutory and legal compliance. Entrench a culture of discipline.
    • Internal Business Processes
    • Assist to recommend levels of materiality in organisation and setting of policy defining levels of materiality in terms of compliance risks
    • Implement performance goals and metrics that will enable measurement and management of compliance for business as a whole
    • Recognise and communicate potential risks facing compliance capability
    • Develop and monitor operations and budget
    • Monitor and review compliance performance achievement and targets regularly
    • Assist with alignment between ERM process, assurance, and risk financing
    • Provide an independent review regarding proposed business plans and transactions as far as risk and compliance issues are concerned.
    • Review IT strategy to support ERM
    • People Management
    • Performance management: Define individual performance standards, monitor and measure performance, reward and recognise high performance. Apply consistent performance and consequence management, take prompt action against non-performance.
    • Talent development: Actively manage talent through regular assessment of employees’ strengths, development needs and development progress. Provide ongoing mentoring, coaching and development feedback to employees.

    • Assist CEO and Exco to develop and communicate risk management policies, risk register, risk appetite and risk thresholds for enterprise
    • Assist in Develop enterprise risk mitigation strategies in accordance with relevant regulatory frameworks
    • Establish, communicate and facilitate use of appropriate ERM methodologies, tools and techniques
