    Manager – Corporate Secretarial (SA)

    We currently have an exciting opportunity for a Manager (CoSec) to join our team in Cape Town, South Africa.

    Purpose of Job

    To manage a Company Secretarial team, responsible for supporting the service delivery of the team to Guernsey funds (some of which are listed) and other structures. Responsible for a portfolio of clients and the Company Secretarial team provides support to the Guernsey team, preparing and filing fund related documentation, assisting with regulatory compliance filings, statutory returns and regular corporate governance reporting to Boards.

    Main Responsibilities and Duties

    • Responsible for the performance of the corporate secretarial team supporting the service delivery to our clients
    • Help to guide and develop junior members of the team
    • Ensuring the Company Secretarial support function delivers to agreed scope and timescales
    • Understand the relevant regulatory regime and ensuring that all activities undertaken meet regulatory requirements
    • Assist with the drafting of board papers, ensuring board packs are assembled and distributed to client boards in a timely manner
    • Attend and minute board meetings, if required
    • Assist with drafting company materials including announcements as appropriate
    • Ensuring announcements and statutory filings are released and filed as required
    • Liaise with auditors as required
    • Keep clients’ records up to date and ensure all statutory registers are duly maintained
    • Receive, monitor and keep up to date with constitutional, regulatory and listing requirements as applicable to individual clients
    • Take responsibility for various other aspects of our service offering, including keeping up to date with best practice and helping disseminate the same to the wider team and undertaking project work as required
    • Liaising with external regulators and advisers, such as lawyers and auditors
    • Provide any other duties as required
    • Assist with the production, where necessary, of relevant policies and procedures
    • Remain aware of the obligations for the reporting of unusual transactions
    • Adhere to Risk & Compliance procedures in relation to regulatory requirements and AML legislation;
    • Adhere to CPD requirements in accordance with qualification level and in-house procedures;
    • Adhere to JTC core values and expected behaviours;

    Essential Requirements

    • LLB Degree and/or CSSA qualification
    • At least 3-5 years of relevant experience in a similar role
    • Good understanding of the Companies Act 71 of 2008, MOI, King IV and JSE requirements
    • Good CIPC knowledge and experience in all company lodgements/amendments
    • Knowledge of the relevant laws of the regimes as applicable to the jurisdiction of the clients
    • Knowledge of the relevant jurisdictions’ rules and regulations
    • Understanding of the various Stock Exchanges’ listing rules
    • Understanding of the importance of controls and the fiduciary responsibility of directors
    • Understanding of the features of the different types of relevant asset classes
    • Ability to demonstrate effective communication skills
    • Ability to work independently and under pressure
    • Attention to detail
    • Strong minute taking skills
