    Secretarial and Governance Consultant

    Minimum Qualifications and Experience: 

    • Grade 12 
    • 5 - 10 years in a similar role 
    • Solid understanding of how to navigate CIPC website 
    • A working knowledge of and ability to complete the prescribed statutory forms for Companies and Close Corporations 
    • Must be able to effect changes to Close Corporations and Company statutory records  

    Job Description: 

    Close Corporations 

    • Change of financial year end 
    • Change of registered office and postal address 
    • Change of accounting officer 
    • Change of name and objects 
    • Change of members/contributions/size of interest/address or other details 
    • Conversion of CC into a Company 
    • Deregistration of close corporation 

    Companies 

    • Resignation and appointment of directors/secretaries 
    • Change of registered office and postal address 
    • Change of financial year end 
    • Resignation and appointment of auditors 
    • Transfer of shares 
    • Preparation of the AGM minutes, including dividend declaration for a company 
    • Allotment of shares 
    • Formation of Company 
    • Formation of External Company 
    • Filing of Annual Returns 
    • Change of Name of a company 
    • Appointment and resignation of Person Authorised to Accept Service – External Company 
    • Change of financial year 
    • Replacement / Indemnity of Lost Share Certificates 
    • Increase of Authorised Share Capital 
    • Buy Back of shares 
    • Amendment or substitution of MoI 
    • Restoration of Company 
    • Arranging board meetings, preparation & distribution of Agenda & board packs and attending of meetings 
    • Preparation of formal minutes of meetings 
    • Attending to statutory compliance health checks/reviews 

    Other requirements: 

    • Manage client expectations with regard to deliverable: 
    • negotiate/discuss deadlines and agree on respective roles/responsibilities of both parties 
    • furnish client with regular feedback on progress made (e.g. weekly) 
    • Build strong positive relationships with clients 
    • Ability to work in a team environment 
    • Deliver quality work product requiring minimum re-work (almost free of errors) 
    • Interpret and apply theoretical knowledge to practical assignments 
    • Demonstrate ability to grasp and apply new technical concepts 
    • Approach client interaction in an organized manner.  Delivers clear requests for information. 
    • Manage multiple tasks, prioritizing time and communicate possible conflicts with manager. 
    • Manage own workflow & meet deadlines – with a minimum amount of supervision from a senior consultant/manager.
