Duties and responsibilities

A. Acquisitions and disposals

• Negotiating the legal aspects of and facilitating completion of transaction agreements.
• Assessing the legal risks of the investments and ensuring appropriate legal solutions to mitigate.
• Considering various entry strategies and transaction structuring of potential transactions. 
• Working in conjunction with the development and treasury team to see the deal to completion.
• Assisting treasurer with the funding arrangements for the transactions. 
• Identifying the commercial aspects of a transaction that require decisions from management and execution of terms in accordance with such guidance.
• Managing legal advisors representing the company in the transactions.

B. Fund structures and structuring of deals

• Negotiating, drafting, and managing documentation as required to support GIP.
• Ensuring that appropriate forms of legal documents are used for dealings with third parties which contain adequate protections and remedies to address legal, regulatory, credit and event risk.
• Advising in the establishment and structuring of new funds
• Negotiating the legal aspects of and facilitating completion of fund agreements
• Negotiating and facilitating the completion of finance transactions required to close the deal.

C. Corporate governance

• Board reporting: 
•   Ensure compliance with applicable regulatory framework including but not limited to the JSE listings rules, takeover code, competition commission and tribunal rules in conjunction with Company Secretarial.
• General contract management. 
• Drafting of Resolutions.

D. General legal advice

• Providing general legal advice to GIP.
• Providing legal assistance to treasury on ongoing financing arrangements, interest rate and currency hedging agreements.
• Legal support in shareholding matters in JV and other investment relationships.
• Providing creative legal solutions for non-standard transactions.
• Keeping GIP updated on relevant laws and regulations which could have an impact on business operations and or future investments.  
• Appointing and supervising external counsel, as required, on specific aspects or transactions.
• Controlling the quality and costs of legal services provided by external counsel.
• Managing litigation and assessing inherent risks and liabilities.

Requirements

Experience 

• 10 years’ experience in a reputable law firm. In-house experience will be advantageous. 
• Proven Experience in funds management structures.
• Exposure to mergers & acquisitions and general commercial transactions.
• Working knowledge of conveyancing will be advantageous. 
• Experience in governance and compliance structures.

Qualifications

• Relevant legal qualification with a post-graduate in commerce/ legal /management or business.
