    Corporate Legal Advisor

    Job description

    Qualifications and experience:

    • LLB Degree;
    • Admission as an Attorney of the High Court;
    • Post admission experience of at least 3- 5 years’ as an Associate at a top tier or boutique law firm in SA (Corporate & Commercial Department), or as an in house legal counsel specialising in Corporate & Commercial work;
    • Strong commercial legal background dealing with reviewing and drafting of all types of commercial agreements;
    • Transactional work experience (M&A);
    • Excellent knowledge and understanding of Companies Act- Strong Advantage;
    • Experience in the property management industry would be advantageous;
    • Fluency in English – oral, written and letter/report writing skills;
    • Must be computer literate – MS Office (Advanced Level);
    • Must be a self-starter, and able to work independently and in a team environment;
    • Some experience in litigation also an advantage.

    Key Tasks and Responsibilities:

    • Administration and Legal Functions:
    • Dealing with complex Landlord contracts and queries i.e. Private property landlords, municipalities nationally, Intersite, Property funds, parastatals etc.;
    • Protect the security and confidentiality of the information that is privileged to the company;
    • Deal with site rental queries from time to time;
    • Understand, implement and comment on by-laws and council policies and regulations affecting the company;
    • Assist in all tender related matters;
    • Assist with legal queries from Africa business / subsidiaries under guidance of the Legal Director;
    • Representation of the company at meetings with various councils and other regulatory bodies under guidance of the Legal Director;
    • Researching impact of new legislation including those involving municipal by-laws and National legislation;
    • Guidance and advice to town-planners;
    • Support Legal Director as required;
    • Training of employees on relevant legislation
    • Contracts:
    • Have knowledge of all major commercial contracts including drafting and review of Service Level Agreements, Share Purchase Agreement, Joint Venture, Shareholder Agreements, Sale of Asset Agreements ,Lease agreements etc.
    • Understand, implement and comment on by-laws, council policies and any other legislation that affects the company’s business;
    • Contract negotiations- strong negotiation skills is a must;
    • Ensuring a successful contract management system is in place to ensure timeous signing of contracts;
    •  Drafting and reviewing of legal and other commercial agreements;
    • Site Lease Audit:
    • Assist with site audits with major landlords on a regular basis to ensure profitability of contracts
    • Assist council appointed managing agents to audit company structures erected on council land
