    Company Secretary Specialist

    QUALIFICATIONS AND EXPERIENCE: 

    • A minimum of a National Diploma in Law, Finance, Governance, Public Administration, Business Management or a relevant and equivalent qualification at NQF level 6.
    • Three (3) years' experience in the company secretary environment within a Public Entity or SETA.
    • The below would be regarded as advantageous: 
    • A Post-Graduate qualification in the fields identified.
    • A Chartered Secretary qualification.
    • A valid registration of a professional body.

    MAIN ACCOUNTABILITIES: 

    • Assist the office of the Company Secretary to drive good governance through providing sound good corporate governance advice and providing specialist governance supporting line with governance and best practice frameworks.
    • Coordinate the review and implementation of the constitution, charters, accounting authority workplan and delegation of authority of governance committees and accounting authority timeously.
    • Facilitate the appointment of Accounting Authority members, independent chairperson of the steering committees and independent members of the audit and risk committee, resignations and other related matters in line with the Constitution and legislation.
    • Coordinate the orientation of new members.
    • Undertake research and provide sound corporate governance expertise through opinions and guidance.
    • Participate in the development of standard operating procedures and processes forth function.
    • Coordinate and contribute to the compilation of the Annual Report.
    • Coordinate governance daily support to internal stakeholders, the Company Secretary, Chairperson, CEO and members.
    • Dispatching information timeously to all Accounting Authority members to enable them to prepare adequately for these meetings (including but not limited to pack distribution). 
    • Preparing the agenda, which is relevant to the company's business imperatives in conjunction with the Company Secretary. 
    • Ensuring proper compilation and timely circulation of board papers. 
    • Ensuring that minutes of all stakeholder meetings, Board meetings, Board committees meetings and other committees are accurately recorded, timeously distributed, accompanied by the matters arising. 
    • Preparing and circulating minutes of meetings and ensuring that the details of the resolutions and decisions are recorded. 
    • Maintain the statutory registers for governance. 
    • Ensure sound records management in the office. 
    • Prepare for Annual General Meetings and stakeholder interface leading to the AGM. 
    • Develop good working relationships with all key stakeholders of FASSET. 
    • Ensure that Accounting Authority fees are paid according to the approved remuneration framework. 
    • Coordinate and report on the budget of the unit and the risks and compliance requirements for the unit. (POPIA compliance and risk management). 
    • Facilitate the maintenance of the organisational policy register to support effective reporting and compliance. 
    • Quality-check reports to various stakeholders, including the compilation of the Annual Integrated Reporting for the governance chapter and audit and risk committee statement.

    • Strong communication skills for collaborative discussions. 
    • Unwavering commitment to the highest ethical standards. 
    • Knowledge and understanding of the PFMA and NT regulations; 
    • Report writing 
    • Understanding of King V, POPIA, PAJA, SDLA, SDA, etc. 
    • Knowledge of risk and legal compliance
