    Corporate Restructuring Lead

    Main Purpose:
    Reporting to the Group Company Secretary, the successful applicant will work alongside the Regional Company Secretaries and extended members of the wider Legal and Tax teams in managing corporate legal restructuring projects and related administration for all Puma Energy group companies globally, as well as assist in drafting, reviewing and implementing related documentation in connection with the restructuring and compliance activities of the various companies.

    The role requires an individual who can take the lead on, and responsibility for, restructuring projects affecting a wide portfolio of companies in multiple jurisdictions as well as ad hoc duties. The individual will manage restructuring projects of various sizes that relate to corporate (share / asset transfers, dissolutions & winding up, new entity creation, etc.) as well as financial (intercompany loan creation, loan novation, assignment, cessions, waivers, dividend declarations, contributions in kind, etc.) aspects of the business.

    Knowledge Skills and Abilities, Key Responsibilities:
    Key Responsibilities

    • Ownership of the company secretarial matters related to the Group’s restructuring projects and administration and management of all corporate secretarial and compliance related matters for the restructuring project portfolio across a variety of jurisdictions globally. Responsibilities will include:
      1. Assisting with preparing and setting up new legal holding structures, joint ventures and restructuring plans (including the drafting and reviewing of associated legal documentation, such as share purchase agreements, intercompany financing and other agreements) as well as the coordination of board minutes, resolutions, powers of attorney and proxies, General Meetings, new incorporations, share transfers and issuance etc.
      2. Drafting, coordinating and managing the timely and accurate execution of legal and corporate documents – resolutions, board minutes, powers of attorney, share transfers, loan and services agreements, and the like, related to restructuring projects.
      3. Acting in an advisory capacity to the business and its directors
      4. Liaising with and supporting internal group functions (including legal, tax, finance, treasury) as well as external suppliers, professional advisors (audit and legal) and company agents.
    • Assisting the Group Company Secretary and the corporate tax department with larger and project specific corporate structuring and re-structuring matters, including the preparation, vetting and implementation of step / action plans, joint-venture management and holding structure changes.
    • Assisting the Group Company Secretary with ad hoc corporate secretarial work for the Puma Energy group.

    Requirements

    • Experience in corporate and financial restructuring as well as familiarity with legal and company secretarial requirements in a regulatory environment, including company law principles and corporate governance best practice. Knowledge of multiple jurisdictions worldwide is highly desirable.
    • At least 5 years of relevant work experience, gained in an in-house legal, auditing, accounting, tax or company secretarial department, or with a professional services provider in a corporate secretarial role.
    • Relevant academic background; law / finance degree and/or ICSA qualification required.
    • Financial analytical skills and experience in operational restructuring, corporate finance, or strategy consulting advantageous.
    • Experience working in a fast-paced commercial environment and dealing with colleagues and advisors in other countries/time zones.
    • Ability to work independently when required, managing a number of matters simultaneously.
    • Comfortable with managing a busy workload of changing priorities.
    • Fluent English; other languages desirable but not essential.
    • Familiarity with standard MS Office computer software and online resources.
    • Excellent oral and written communication skills.
    • Energetic, dynamic and enthusiastic personality.
