    Private Equity Transactor

    About the job
    Job Purpose:

    • To identify attractive investment opportunities in private companies with a view to selling them in five to seven years to maximise the profit for the bank.

    Responsibilities: 

    •    Sourcing and evaluation of deals:
    •    Establish and maintain internal and external networks for deal leads;
    •    Scan the market for possible opportunities;
    •    Devise a financial model to establish valuation ranges and returns;
    •    Benchmark against other market valuations.
    •    Negotiation and structuring of potential transactions:
    •     Devise a commercial offer that is feasible for all parties;
    •     Develop an investment thesis;

        Obtain preliminary approval for the proposed offer from Private Equity team.

       Follow due diligence process and obtain internal approval:

        Devise a programme of work to ensure all significant risks are identified and quantified through:

    •    Appointing appropriate third party advisors as necessary;
    •    Coordinating the process according to tight deadlines and budgets;
    •    Ensure that direct commercial due diligence is completed by the team;
    •    Manage the funding process, including equity and debt;
    •    Analyse all due diligence information and synthesise into a cohesive investment report;
    •    Submit investment report to the team and RMB Investment Committee for approval.

       Implementation of deals:

    •    Negotiate a set of legal agreements that give effect to the finally approved offer;
    •    Ensure that debt and equity funding has been raised;
    •    Ensure management deal is approved;
    •    Ensure all regulatory approval has been obtained;
    •    Ensure there are legal agreements in place with all parties and executed;
    •    Ensure all internal sign offs are obtained.

       Management of the investment:

    •    Maintain strong relationships with the management team, co-investors and financiers;
    •    Ensure governance and incentive structures are appropriate;
    •    Nurture potential exit opportunities;
    •    Optimize balance sheet;
    •    Ensure appropriate capital structures for all strategies;
    •    Ensure succession planning is in place;
    •    Evaluate market for potential acquisitions and disposals;
    •    Provide strategic insight and align strategy with capital structure;
    •    Seek and evaluate opportunities for acquisitions, disposals and growth opportunities.

       Exiting of the investment:

    •    Prime the business for exit;
    •  Identify prospective buyers and exit mechanisms;
    •  Follow through on executing successful exit.

    Stakeholder relationship management:

    • Initiate dialogue to build professional working relationships with all stakeholders, displaying excellent abilities to listen, advise, influence, negotiate and present at all levels   
    •  Lead and facilitate difficult conflict situations into consensual agreements;
    •  Integrate opinions and information provided by various sources to make strategic    decisions;
    • Adapt communication styles to meet the needs of different audiences;
    • Continually scan the industry to identify opportunities to create strategic partnerships  with  key individuals and bodies;
    •  Find opportunities to leverage relationships and promote knowledge sharing, ideas and insights.

    Qualifications and Experience:

    • Minimum 3 year Degree plus Professional Qualification; CA(SA) advantageous Experience
    • Engineering/Actuarial or Legal advantageous Experience
    • Minimum 5 years working experience in investment research, Corporate Finance, Debt, Lending and/or management consulting.
