    Manager: Governance, Compliance and Ethics

    • To lead the Bank’s Compliance function by providing strategic direction and focus and by establishing and promoting a compliance culture within the Bank. To ensure that the Bank complies with all relevant statutory, regulatory and supervisory requirements that pertain to its particular industry as well as professional standards, accepted business practices and internal standards. To ensure that the Bank’s corporate governance processes and internal policies are sound and embedded within the organisation. To ensure that the Bank conducts its business in an ethical manner and to promote an ethical culture within the Bank thereby assisting to manage risk, maintain a positive reputation. To create awareness and educate employees and management at all levels as well as instituting practices that will ensure the highest possible level of compliance. Participating in and supporting the Board and Board sub-committees in effective management of compliance risks. To oversee elements of Financial Crime Risk management.

    Key Performance Areas    

    • Governance and Compliance Oversight: Strategic Alignment Compliance Framework, Compliance Programme and Managerial responsibilities
    • Develops and oversee the implementation of a consistent integrated compliance framework and compliance programme for the identification, prioritisation, management, monitoring and reporting of compliance risks and issues.
    • Develop a comprehensive compliance risk management programme that is integrated with the organisation’s strategic planning process.
    • Assist management in becoming aware of their responsibilities relating to compliance with regulatory requirements.
    • Examines and keeps abreast of all changes in legislation and regulations and advise all stakeholders of the potential impact that such changes would have on the Banks operations.
    • Independently monitoring and reporting to top management on the effectiveness of the compliance function.
    • Provides advice to management and the Board as required in adherence to compliance functions imposed by legislation and governance principles.
    • Develop a framework for policies within the bank that is aligned to legislation and best practice corporate governance.
    • Develop and guide the maintenance of a policy and procedure repository within the bank.
    • Communicate, meet and plan with internal audit on a periodic basis in order for IA to conduct independent reviews of the compliance function.

    Governance and Compliance Oversight:

    • Regulatory reporting and Regulator and Stakeholder interaction
    • Build and maintain effective regulator and stakeholder relationships.
    • Develop and maintain professional working relationships with regulators and other stakeholders through formal and informal interactions.
    • Develop a plan to manage an organisation’s relationship with all regulators / supervisors that have jurisdiction.
    • Coordinate communication channels and liaison with regulators and supervisors.
    • Participate and oversee where necessary in regulatory inspections.
    • Represent the Unit on governance compliance related matters and various forums.

    Governance and Compliance- Assurance and Monitoring Oversight (second line of defence)

    • Develop the compliance risk identification matrix of the Bank to understand the business of the bank and all applicable legislation (compliance process phase1).
    • Develop the compliance risk priorization index for the Bank to categorise and prioritize and classify the applicable legislation to the Bank (compliance process phase 2).
    • Develop control optimization and risk management plans for applicable legislation for the Bank (compliance process phase 3).
    • Develop compliance risk monitoring plans and reporting tools for the bank for all applicable legislation and reporting (compliance process phase 4).
    • Develop a compliance monitoring plan and compliance programme to ensure monitoring of the Banks compliance risk as well as compliance to laws, regulations and supervisory requirements.

    Governance and Compliance Oversight:

    • Ethics Culture and Management. Establish best practice and create awareness to an ethics culture in the organisation
    • Inspect and oversee the ethics related issues in terms of King IV.
    • Collaborate with internal and external stakeholders in addressing ethics related issues.
    • Submit research and advice on best practices to detect and address unethical behaviour.
    • Develop a process to monitor compliance with the complaints and ethics policies and procedures.
    • Present reports to management and board on all non-compliance to code of ethics and ethics policy to relevant stakeholders.

    Financial Management

    • Provide input into the departmental annual budget and allocated cost items.
    • Monitor expenditure monthly and report on variances.
    • Manage budget allocations and motivations for expense within area of responsibility.
    • Ensures the maintenance or reduction of costs of all resources without compromising on the delivery of the departmental objectives.

    People Management (Indirect reports)

    Performance Management

    • Analyse the business plan to determine the applicable deliverables and targets
    • Conduct performance planning session and Track and monitor performance in accordance with performance contracts
    • Conduct performance reviews in accordance with policies and procedures and take corrective actions where necessary
    • Provide coaching and feedback to employees on how to improve and sustain their performance

    Preferred Minimum Education and Experience    

    • Degree in law, audit, risk management or similar. Post graduate diploma in compliance management or CISA accredited Compliance Practioners. Meet the requirements of “fit and proper” as prescribed by the Compliance institute of Southern Africa.
    • Accreditation as a Compliance Practitioner with the Compliance Institute of SA
    • 8 years Compliance management experience

    Critical Competencies    

    • Microsoft Office
    • Knowledge of enterprise risk management principles
    • Knowledge / Experience of compliance systems / tools
    • Compliance Management Principles and Processes
    • Knowledge of Compliance related legislation
    • Knowledge and interpretation skills of all applicable legislation to the business of the Bank and ability to communicate on advanced level.

    Executive Manager: Banking

    MAIN PURPOSE OF THE JOB

    • To develop and implement the overall divisional banking strategy and plan to sustainably lead banking operations; and proactively develop and manage relationships with Corporate, Commercial and Development customers as well as Intermediary Channel Partnerships.
    • Plays an integral role in leading the originating, structuring and executing of transactions with existing customers and proactively driving new business development opportunities.
    • Is critical to the execution of the transformation strategy as well as the provision of technical services and capabilities across the bank.
    • Leads and enhances the Bank’s profitability, product offerings, develop tailor made customer solutions, mitigate transactional risks. 

    Key Performance Areas    
    Formulate the Banking Operations strategy and aligns it to the Land Bank strategy and operating model

    • Analyse the Land Bank Strategy to determine the future trends and strategic direction of the company and translates Group Strategy into relevant divisional strategy
    • Interpret the Land Bank Strategy to determine the 3-year vision/strategy for Banking Operations
    • Translating the Corporate Strategy into a Divisional Strategy and Execution and Re-Engineering Delivery

    Designs and Implements revenue streams that drive the Bank’s profitability and financial sustainability

    • Develop and implement the best ‘fit for purpose’ service delivery approaches and structure for the Land Bank
    • Designs foundations for growth of the Land Bank book across the spectrum of farm sizes
    • Manages an integrated sale, relationship, and portfolio growth strategy that are aligned with the business plan to achieve targets and other agreed objectives.

    Governance: Credit Management and Enterprise Risk Management for Banking Operations - policies

    • Oversees compliance with client lending practices and standards.
    • Assessment of operational risks associated with the role and inherent in the business, taking account of changing economic or market conditions, legal and regulatory requirements.
    • Clearly articulate the commercial value add of transactions and how credit risks are mitigated as it goes through the governance structures for approval.

    Development Impact and Transformation of the Agricultural Sector

    • Determine the approach and framework for the achievement of the Development Impact Mandate in support of the Bank’s development and transformation mandate.
    •  Identify, facilitate and manage agricultural development projects 
    • Manage all aspects of Bank interaction with clients, including directing and coordinating execution of transaction

    Business Development and Stakeholder Management

    • Accountable for all origination and business development within the Division, including origination delivery elements executed through Intermediary Channel Partnership and Strategic Partners.
    • Manage all aspects of Bank interaction with clients, including directing and coordinating execution of transaction.
    • Assume primary responsibility for developing, maintaining and generating revenue from clients.

    Partnership Fund Management

    • Identify, pursue and initiate fund and partnership opportunities to cultivate the agricultural market and ensure alignment to the strategy.
    • Conduct investment appraisal of proposed funds to determine viability and economic impact.
    • Engage appropriate multidisciplinary Land Bank resources to initiate negotiations with potential fund partners to ensure fit for purpose new products and partnerships..

    Divisional and People Management
    Performance Management

    • Analyse the business plan to determine the applicable Key Performance Areas, Key Performance Indicators and sets targets for the division.
    • Conduct performance reviews in accordance with policies and procedures and take corrective actions where necessary
    • Make sure that Divisional objectives and Company objectives are cascaded throughout division

    Capacity Planning

    • Determine the human capital requirements, in accordance with the expected deliverables and current capacity
    • Optimise and secure the human capital/resources to ensure that deliverables will be met in accordance with the expected targets
    • Set and achieve employment equity targets

    Financial Management

    • Develop and manage the divisional budget
    • Manage expenditure and ensure no fruitless expenditure
    • Adhere to financial guidelines and thus ensure proper control over expenditure

    Preferred Minimum Education and Experience    

    • A post graduate qualification in Agricultural Economics, Banking, or Finance
    • Master’s degree in business/or MBA 
    • Experience in Development Finance, Agricultural finance, agricultural business - 8 years
    • Strategic Management experience which includes leadership or management of a customer-facing profit making business unit – 10 years
    • Experience in the leadership of strategic programme execution which includes project management and/or consulting – 8 years
    • Experience of the above job function at an Executive Management Level as well as the ability to manage a team of Senior Managers and professionals – 8 years

    • Agricultural finance, Development finance; project finance, including credit / risk analysis skills to enable informed interaction with Executives, Managers and Senior Staff.
    • Business operations, business processes, customer relationship management, budgeting, and business office operations.
