    Company Secretary /Head of Legal(LLB) Life Insurance Industry

    The Key Performance Areas for the position include responsibility for:

    • Providing company secretarial and advisory services in the group.
    • Providing legal counsel and advice in the company.
    • Maintaining statutory books as required in the company.
    • Submitting statutory reports in terms of the companies act as well is the life insurance industry.
    • Contributing to the preparation of annual reports.
    • Preparing documentation for the board and board subcommittees.
    • Researching governance and corporate law and related matters and preparing opinions and reports and memoranda.
    • All contracts, agreements, and legal documentation in the company.
    • Corporate governance in the company.
    • Advising the board in respect of corporate governance principles.
    • Implementing risk management frameworks and programs.
    • A comprehensive advisory service in the group, relating also to the regulatory framework in the insurance industry, prudential and market conduct, and representation on industry bodies.
    • Ensuring good internal and external stakeholder relationships as it pertains to the company secretarial function in the group.

    Requisite Qualifications,Skills and  Experience

    The successful incumbent will:

    • Hold a law degree (at least LLB) and be an admitted attorney.
    • A CIS qualification will be advantageous.
    • Have a demonstrable record of achievement as Legal Advisor/Head of Legal in the financial services industry, preferably life insurance.
    • Have a minimum of 10 years’ post qualification experience in the governance and compliance and company secretarial environment, preferably in the financial services environment.
    • Have sound knowledge of and comprehensive expert understanding of corporate governance and company secretarial practices and procedures.
    • Have proven legal knowledge and skills, specifically pertaining to company law and the accompanying regulations, with a special emphasis on application in the insurance industry.
    • Have a sound knowledge of potential & market conduct legislation.
    • Have an ability to drive the compilation, implementation and management of corporate governance processes and procedures in the group.
    • Have proven skills and experience in rendering comprehensive board secretarial services, including minute taking.

    In addition, the successful incumbent will:

    • Have an excellent command of the English language (total fluency is mandatory).
    • Be an astute business person with the gravitas to operate at group level.
    • Be strategically and commercially astute.
    • Have well-developed leadership and management skills and the gravitas and confidence to manage upwards as well.
    • Have well-developed analytical management skills including problem-solving and decision-making.
    • Display and exercise pedantic attention to detail and accompanying accuracy in all matters.
    • Be emotionally mature, driven and assertive as well as team oriented.
    • Have well developed interpersonal skills with an emphasis on the ability to influence and persuade and negotiate at all levels.
    • Have well developed and proven communication skills at individual as well as group level. (Well developed written and verbal skills go without saying).
    • Be computer literate.
