Job Description:

Kumba Expansion and Staying in Business Project Legal Oversight

• Lead legal support for Kumba's projects, ensuring alignment with business objectives and regulatory requirements.
• Work closely with the Legal Manager: Project Global and Kumba's management team to assess legal risks and implement governance frameworks for major projects.
• Develop and apply legal frameworks to enable commercial innovation and strategic expansion within South Africa within the context of Kumba's expansion and staying in business projects.
• Provide guidance on project structuring and financing mechanisms, ensuring bankability and risk protection.
• Ensure legal risk mitigation strategies are embedded across all major mining, infrastructure, and development projects, aligning with global best practices.
• Engage with external regulatory bodies, legal advisors, and industry groups to ensure compliance in projects.

Kumba Strategic Projects

• Lead legal support for Kumba's strategic projects, including commercial relationships with Kumba's transport logistics partners and domestic iron ore supply customers, ensuring alignment with business objectives and regulatory requirements.
• Work closely with the Head of Legal: Marketing and her team and Kumba's management team to assess legal risks and implement governance frameworks for Strategic Projects in general and commercial relationships with Kumba's transport logistics partners and domestic iron ore supply customers in particular.
• Partner with Kumba's transport and logistics teams to oversee rail, port, and infrastructure agreements with strategic partners.
• Manage legal risks related to Kumba's transportation network and engage with logistics providers.
• Advise on regulatory and contractual challenges in South Africa's evolving logistics and infrastructure environment.
• Advise on regulatory and contractual challenges in relation to Kumba's existing domestic iron-ore supply agreements.
• Develop and apply legal frameworks to enable commercial innovation and strategic expansion within South Africa within the context of Kumba Strategic Projects.
• Provide legal advisory on iron ore supply agreements within South Africa, ensuring compliance with commercial and regulatory frameworks.
• Support contract negotiations, risk mitigation, and regulatory engagement for domestic supply relationships.
• Work closely with the Head of Legal: Marketing and her team on supply agreements that intersect with international considerations.

Business-as-Usual Commercial Legal Support

• Provide legal advisory and risk management for commercial agreements, excluding common supply chain contracting.
• Draft, review, and negotiate commercial agreements, joint ventures, and operational contracts for Kumba.
• Support dispute resolution and risk mitigation related to commercial transactions and regulatory compliance.

Stakeholder Engagement & Business Partnering

• Act as a trusted legal advisor to Kumba management, dedicated legal teams, commercial leaders, and regulatory bodies.
• Partner with internal legal functions, including the Head of Legal: Strategy and Governance, Head of Legal: Marketing, and Head of Legal: Commercial and Global Projects.
• Engage with government agencies, regulators, and private sector partners to navigate commercial legal complexities in South Africa.

Qualifications:

• Recognized South Africa graduate legal qualification. Admitted to practice law in South Africa.

Preffered:

• Postgraduate qualification in Commercial Law, Mining Law, or Infrastructure Law.

Technical Skills:

• Expertise in South African commercial law, corporate governance, and regulatory compliance.
• Strong understanding of strategic legal risk management in large-scale projects.
• Experience in logistics and infrastructure law, particularly within South Africa’s transport sector.
• Knowledge of mining-related commercial agreements, including supply chain and sales agreements.
• Ability to engage with regulatory bodies and government stakeholders on commercial legal issues.
• Advanced contract negotiation and drafting for strategic commercial agreements.
• Strong capability in risk assessment and mitigation for strategic projects.
• Legal expertise in logistics, infrastructure, and project development agreements.
• Experience in cross-functional business partnering within a complex corporate environment.
• Strong understanding of regulatory engagement and compliance frameworks.
