    Regional Legal Counsel Africa

    The Role

    Partnering with our HQ legal team, outsourced law firms and regulatory teams/partners – the Legal counsel for Africa will organize, coordinate and assume responsibility for examining, identifying and researching the risk areas across the business in Africa. Coordinating internal teams & external partners to mitigate identified risks to ensure full compliance with applicable regulations, legislation, company policies and best practice. This role will support in driving legal and compliance awareness and encourage a compliance culture across the business.

    • Be a trusted partner to senior management and to legal team, in matters ranging from corporate, governance, compliance to regulatory agenda for the region.
    • Support corporate entities in the region including the establishment, termination, and consolidation of legal entities. Provide guidance on all state/government/regulatory filings and maintenance of entities in good standing.
    • Manages relations with outsourced law firms in the region, including direction of work, oversight, cost review and control, project management, reporting to legal department and management board for the region.
    • Ensures all corporate entities in the region fulfill corporate/statutory obligations pertaining to them such as: details and aspects as to preparation of board meetings, annual meetings, audits, reports to official bodies and other required communications for the region. (are legally sufficient and consistent with prevalent practices).
    • Supports all board of directors across the region, its corporate governance documentation, and corporate records, including AOA, Bylaws, minutes, corporate records, corporate seals, and other documents and records as required.
    • Reviews and signs off all necessary corporate documents required to be executed by the boards, including annual reports, various regulatory forms document and filings.
    • Provides effective support to Legal department in the region in connection with establishment and implementation of compliance program, particularly in possible adjustments with local legislation, and related communications to the region.
    • Communicates, coordinates, and monitors – in consultation and under direction of legal department, implementation of best governance practices and compliance program, principles, and procedures across the region.
    • Responsible for compliance activities of the organization including annual and quarterly training preparation and training itself, reviews and updates to policies and procedures, management of the third-party intermediaries and conflict of interest inquiries etc.
    • Ensures legal requirements and best practices have been considered for governance documents and processes, and that governance documents and oversight responsibilities are in place.
    • Provides legal support services on various legal matters of moderate to high risk and complexity. Drafts various legal documents and reviews a wide range of legal documents prepared by other attorneys. Serves as primary point of contact for internal clients related to legal, governance and compliance issues in the region of Africa.
    • Provides oversight and/or guidance on projects outsourced to law firms across the region.
    • Partners with internal departments such as Human Resources, Finance, and management to address various corporate, compliance and regulatory challenges
    • Oversee licensing conditions and codes of practice are adhered to for the licenses held by the company with relevant teams
    • Ad hoc assistance on commercial contracts

    Desired Skills and Experience

    More about you:

    • Degree or Equivalent NQF Level 7 Qualification – B.Com Law, LLB, B.Proc.
    • At least 2-4 years of commercial/compliance working experience, preferably in an international business environment. (experience across Africa preferred)
    • You have good understanding and working experience on company compliance and regulations in Africa.
    • Proficiency in dealing with third party regulators and licensing bodies
    • Corporate governance, compliance & regulatory (telecommunications/IT)
    • You have an ability to adapt fast and like working in a high-paced environment 
    • Your written/oral communication skills are excellent, and you enjoy working with multiple diverse stakeholders 
    • You’re curious and continuously expand your skills, and you are interested to learn more about business, technology, processes, law
    • Taking initiative and working independently comes naturally to you 
    • You are a team player and build positive, lasting relationships with colleagues in the team 
    • Taking ownership and responsibility of the business area and your projects ensuring progress.
