Transnet Limited, operating and controlling South Africa’s major transport infrastructure, is also responsible for ensuring that the country’s transport industries operate according to world-class standards. Legal implementation of asset finance, acquisition finance, debt capital markets and property finance transactions.
Position Outputs
Participate in and contribute to the development of an overall legal strategy for Transnet so that the Chief Legal Officer is aware of the legal requirements of Transnet and can incorporate them into the overall Legal Risk Management strategy for Transnet. and Includes preparation of the commercial and administrative law strategy and policy for inclusion into the broader legal strategy.
Advise the GM: Commercial Law and Transnet on the interpretation, application and implementation of various legal instruments so that Transnet adheres and complies with all applicable legislation in capital asset management.
Legal implementation of asset finance, acquisition finance, debt capital markets and property finance transactions.
Advising Transnet on the legal aspects of transactions as well as continued research into various aspects of the law and regulatory framework impacting on the legal viability of the transactions.
Reviewing of, among others, loan agreements, shareholders agreements, preference share agreements and security agreements.
Identifying and liaising with external attorneys to prepare the necessary documentation.
Reviewing and vetting of various agreements on behalf of Transnet
Drafting and reviewing financing and security documents; Inter-creditor agreements; Loan agreements; Shareholder agreements
Memorandums of incorporation; Security documents including, cessions and guarantees
Indemnity agreements; Legal opinion work
Attending to mandate and term sheets.

Report monthly to the GM: Commercial Law on all commercial law disputes that may pose a reputational risk to Transnet.
Provide advice to all Transnet Divisions on all capital assets management and related matters.
Interact with Transnet Executives on matters that are considered risky to Transnet.
Liaise with various external strategic bodies on legal issues affecting Transnet.
Qualifications and Experience
LLB, is required.
The incumbent is required to be an admitted Attorney or Advocate.
At least 10 years’ experience, of which 5 years must be with strong focus on senior management experience within a legal environment in a large entity/multidisciplinary legal environment dealing with Commercial law, Competition and/or administrative law field.
Requirement of Trust and Honesty in the handling of Finances as per the National Credit Act Amendment 19.
