    Assistant Manager - Company Secretary

    The Role

    • To liaise with and support the Client Directors and Assistant Client Directors in Jersey with the administration and management of their portfolios of trust structures and other corporate entities, in accordance with the relevant documentation and all new and amended legislation, case law and practice regulations.

    Key Responsibilities:

    • Building a detailed understanding of client portfolios, entity specific requirements and applicable statutory regulations/requirements and act as a source of guidance to other team members;
    • Work with team manager, client directors and assistant client directors to ensure the planning, coordination and completion of all regulatory obligations and client agreed deliverables within strict deadlines for the portfolio of entities are met;
    • Assist with arranging income and capital distributions to beneficiaries and to correctly document the same;
    • Check if tax calculations have been done and are on record;
    • Maintain and monitor diary notes and workflows;
    • Prepare and maintain accurate trust and entity summaries;
    • Deal with the termination/exiting of trusts and other corporate entities;
    • To ensure service delivered meets company policy and/or service level agreement;
    • Participate and provide support to all new business activities;
    • Contribute to any relevant tasks arising out of on-going projects;
    • Ensure that the client information is accurate at all times;
    • Provide accurate and timely monthly reports of key management information to Management or as required;
    • Manage and supervise a number of administrators and trainee administrators who would typically be studying towards professional qualifications and oversee and review team adherence to internal policies, controls and systems, including meeting any internal deadlines;
    • Review minutes/records prepared by administrators and trainee administrators;
    • Act as point of contact with client directors, assistant client directors and intermediaries such as lawyers, auditors, bankers and investment managers as required;
    • Establish, build and maintain strong relationships and networks with both internal, cross jurisdictional and external contacts;
    • Build key relationships with client directors and assistant client directors in Jersey, ensuring the team responds swiftly to requests and manage expectations;
    • Contribute to the overall management of the team and business;
    • Report any identified issues and risks, including legal/regulatory matters and client complaints, to senior management promptly;
    • Ensure that all compliance and mandatory training is completed within required timescales;
    • To act in accordance with all legal and regulatory requirements affecting the Company and ensuring that actions comply with both departmental procedures and this job description.

    Skills & Experience:

    • Professional qualifications – LLB, BCom LLB and Admitted Attorney.
    • 5 years of relevant industry/specialist experience in administration of trusts and working with corporate entities such as companies;
    • Has sound technical knowledge of their respective field;
    • Excellent attention to detail and high levels of accuracy;
    • Excellent communication and organization skills;
    • Learn and understand various jurisdictions legal and regulatory requirements, over time;
    • Act as a point of contact with internal or external stakeholders;
    • The jobholder will be required to assist in the administration of various portfolios of corporate entities;
    • and requires a combination of accounting, taxation, legal, investment, and commercial experience;
    • Ability to motivate and influence a team;
    • High level of managerial skills;
    • Should be fluent in English and attend to all correspondence in English.

    Administrator - Private Equity South Africa

    • The successful applicant will be responsible for delivering the administration requirements of our Private Equity (SA) clients in line with the service level agreements. This includes client service management and providing support to the onboarding team.

    Outline of main duties and responsibilities

    The roles and responsibilities of the successful candidate are as follows:

    CLIENT ONBOARDING

    • Obtain an in-depth understanding of the client’s fund documentation.
    • On- board the relevant investor and fund static data onto the platform.
    • Set-up (and maintain) the reporting templates for a portfolio of allocated clients.

    BANK ACCOUNT MANAGEMENT

    • Opening of client bank accounts at the chosen banking institution.
    • Maintain the authorised signatory list, both internally and externally for each of our clients including the PERE authorised signatory list.
    • Attend to and manage the payment process.
    • Maintain the users for the online banking platform, both internally and externally for each of our clients.

    INVESTOR SERVICES AND TRANSFER AGENCY

    • AML/KYC: - Collate and review the required AML/KYC documentation of prospective investors of our clients, in line with the requirements of the country of domicile of the fund. - Where applicable, liaise with transfer agency teams within other jurisdictions to manage and facilitate AML/KYC sign-off and acceptance of investors into the fund. - Perform investor continued
    • AML/KYC as per the risk rating.
    • Responsible for the timely delivery of all investor communication and report ing, in line with the agreed SLA’s.
    • Respond to investor queries within the required SLA. Manage / facilitate investor transactions (subscriptions, redemptions, transfers, capital calls or distributions)
    • Maintain investor static data.
    • Liaise with the investors.

    CLIENT MANAGEMENT

    • Perform, regular client operational calls for an allocated portfolio of clients and provide client feedback to management and the rest of the team.
    • Liaise and build relationships with other relevant internal teams to ensure a seamless delivery of services to our clients.

    REGULATORY

    • FATCA/CRS: - Perform initial and continued due diligence, for review by the
    • Administration Leaders. - Maintain static data in relation to FATCA/CRS. -
    • Prepare the annual report for review and submission by the Administration leaders.
    • Assistance with any other regulatory and/or reporting requirements that may arise.

    OTHER TASKS

    • Ensure accurate billing information is provided to the relevant staff member who is responsible for billing within the set deadlines
    • Any other ad hoc tasks
    • Deal with all internal client administration requirements
    • Ensure all the PERE processes are adhered to within the relevant client and internal SLA.

    Skills set Skills requirement:

    • A good understanding of various Private Equity Fund structures and the administration of these structures.
    • Highly organised, efficient and professional with excellent administrative and organisational skills.
    • Sound knowledge and understanding of back-office systems. Investran, eFront and Paxus is beneficial.
    • Demonstrated ability to work in a pressurized environment.
    • Have a confident, professional and an enthusiastic approach when dealing with clients and intermediaries of the business.
    • Be familiar with Funds services controls and procedures to ensure compliance and minimize risk.
    • An ability to constantly challenge and look to improve the daily operation.

    • Have a practical hands-on approach and the ability to ‘get things done’.
    • Be able to communicate clearly with staff and senior management.

    Legal Counsel

    The Role & Key Responsibilities: 

    • Draft, review and negotiate corporate documentation, client service agreements and NDAs.
    • Assist and advise our operational teams and business leaders on all issues relating to fund servicing matters.
    • Advise on data protection issues in the context of client and vendor service contracts.
    • Develop and support the Group in respect of IP management.
    • Assist in group wide integration projects.
    • Help maintain and develop our library of template client service agreements in accordance with industry best practice.
    • Provide day to day legal advice across all Group business lines to best meet their business needs, maintaining good working relationships through active communication, facilitation and teamwork.

    Skills Required:

    • A solicitor qualified in South Africa or another common law jurisdiction.
    • At least 3 to 5 years of experience within fund services or the wider financial services industry (in-house or private practice). Candidates with less experience will be considered on an exceptional basis.
    • Be comfortable/competent in dealing with general service contracts.
    • Be highly motivated and a self-starter with the ability to work semi-supervised supporting a fast-paced dynamic business.
    • Possess team spirit and enthusiasm with the capacity to build strong client relationships, taking the initiative to act.
