    Principal Consultant

    • Malander is seeking an experienced Chartered Accountant to serve as a Principal Consultant for Finance and Tax. This pivotal role will be responsible for overseeing the financial and tax aspects of mergers and acquisitions (M&A) and business development transactions within the organisation. The Principal Consultant will ensure that all M&A and BD activities are strategically executed, in compliance with regulations, and aligned with business objectives.

    Key Responsibilities:

    • Diversification and Strategic Growth:
    • Drive diversification of the telco-to-tech ecosystem;
    • Develop strategies to enhance industry ecosystems across multi-geographic and cultural contexts;
    • Lead the implementation of M&A transactions to support shareholder value creation and effective stakeholder management;
    • Promote business intelligence and standardisation to maximise operational efficiency and business impact;
    • Address new data privacy and security imperatives, strengthening digital trust partnerships.
    • Strategy and Implementation:
    • Lead financial and tax-focused strategies for M&A and BD initiatives, aligning with connectivity and platform business goals;
    • Implement and manage finance and tax protocols to support the M&A lifecycle, ensuring compliance with strategic frameworks and processes;
    • Optimise financing strategies for M&A transactions to ensure financial stability and growth;
    • Provide leadership to M&A/BD delivery teams, ensuring strategic alignment and effective execution.
    • Operational Delivery:
    • Oversee due diligence processes to assess financial health, tax obligations, and risks associated with target companies and initiatives;
    • Collaborate with valuation experts to determine the value of target companies, factoring in financial, tax, and market considerations;
    • Design tax-efficient transaction structures while minimising risks and maximizing synergies;
    • Develop financial models and business cases to forecast the performance of the combined entities, and assess potential ROI.
    • Budgeting and Reporting:
    • Oversee operational budgets and ensure alignment with business objectives;
    • Facilitate forecasting and drive initiatives that maximise investments, applying defined value-tracking metrics;
    • Provide regular reports on business development activities, market insights, and financial performance to senior management, offering data-driven recommendations.
    • Leadership and Team Management:
    • Foster a collaborative team culture with open communication and effective teamwork;
    • Implement change management and knowledge transfer initiatives to encourage continuous improvement and team growth;
    • Lead and mentor teams, ensuring high performance and alignment with strategic goals.

    Qualification and Experience:

    • CA(SA);
    • MBA is advantageous;
    • Understanding of tax structuring for inter and intra-border initiatives;
    • 5 years senior management experience with at least 3 years in area of expertise and/or the relevant sector;
    • Experience working in a global/multinational enterprise with a good understanding of emerging markets is advantageous;
    • Worked across diverse cultures and geographies;
    • Experience working in a medium to large organisation;
    • Proven track record of successful originating and execution of M&A and BD activities;
    • Strong understanding of market dynamics, industry trends, and customer behaviour;
    • Effective communication and presentation skills to articulate complex concepts to diverse audiences;
    • Demonstrated ability to lead and work collaboratively in cross-functional teams.

    Property Consultant - Legal

    • Malander is seeking a seasoned legal expert for the position of Principal Consultant: Legal. The successful candidate will manage, support, and provide guidance on general commercial legal transactions and regulatory matters within the Group's operating units, particularly in relation to mergers and acquisitions (M&A). This role is essential in ensuring that legal aspects of M&A and business development initiatives are executed effectively, with strategic alignment and compliance.

    Key Responsibilities:

    Strategy and Implementation:

    • Develop and implement legal strategies that align with the Group’s M&A objectives and risk management;
    • Create a contractual framework for strategic projects;
    • Provide legal guidance to delivery teams, ensuring successful execution of M&A initiatives;
    • Cultivate and manage strategic partnerships, joint ventures, and alliances with external stakeholders;
    • Oversee mitigation of legal risks related to M&A and business development initiatives.

    Operational Delivery:

    • Lead the identification and evaluation of acquisition targets, including comprehensive due diligence on potential deals;
    • Collaborate with corporate finance on capital structures and financial modeling for M&A transactions;
    • Participate in negotiations for complex contracts and agreements, ensuring favorable terms for the Group;
    • Conduct market research to understand industry trends and competitive landscapes, informing business proposals;
    • Ensure alignment with Group Functions and Platform businesses for compliance with governance structures;
    • Lead bid teams for new license bids, offering expertise on valuation, shareholder consortia, and investment structures.

    Budgeting and Reporting:

    • Oversee operational budgets and ensure alignment with business objectives and delegated authority limits (DOAs);
    • Drive value-adding initiatives with defined metrics, ensuring cost efficiency and strategic investment;
    • Report regularly to senior management on M&A activities, sales performance, and market insights, providing data-driven recommendations.

    Staff and Leadership Management:

    • Build and lead a high-performing legal team, providing mentorship, training, and career development opportunities;
    • Foster a culture of collaboration and teamwork, ensuring open communication and effective performance management;
    • Lead change management initiatives and promote continuous improvement;
    • Encourage knowledge transfer within the team, implementing a structured plan to drive continuous improvement;
    • Define roles, responsibilities, and performance objectives in accordance with HR policies and governance.

    Qualifications and Experience:

    • Minimum of 4-year tertiary degree Finance or Business or related qualification;
    • MBA or equivalent Master’s qualification;
    • Relevant certification / accreditation / membership with professional body as required for role is advantageous;
    • Fluent in English;
    • 5 years or more experience as a seasoned senior manager with Corporate Finance/Investment Banking/M&A Dealmaker/Transactor specialisation and the relevant sector;
    • Experience working in a global/multinational enterprise with a good understanding of emerging markets is advantageous;
    • Worked across diverse cultures and geographies;
    • Experience working in a medium to large organisation;
