    Junior Legal Counsel

    Main Purpose

    Reporting to the Head of Legal: Central and West Africa, the incumbent will work with the other team members in managing the legal issues for the Puma Energy companies operating in these clusters which shall include Republic of Congo, Senegal, Benin, Cote d’Ivoire, Democratic Republic of Congo, Ghana and Nigeria. (clusters are subject to revision from time to time)

    • To provide general commercial contract legal support, working effectively with other key functions (eg compliance, finance and commercial) and experts to deliver timely, high quality, high impact, high value support, acting as a facilitator and enabler to support the business in meeting its objectives.
    • To advise upon and manage contentious matters which may arise.
    • To engage closely with stakeholders at all levels in the business unit to align objectives and priorities; to ensure business support as appropriate; and to build strong working relationships.
    • To be highly visible both as a member of the legal team and as an advocate for intelligent risk-based decisions.
    • To support the legal team objectives, including involvement in projects to improve team performance and management and managing relationships with external legal counsel.
    • To role model high levels of customer awareness and engagement at work and outside it and standing for Puma Energy values.
    • To seek out opportunities for innovation and process improvement to increase overall efficiency of wider legal team.
    • To keep abreast of relevant legal and regulatory developments and to facilitate sharing of knowledge and best-practice within wider legal team as well as more widely.
    • To support the business in particular on the following; supporting HR related matters, drafting amendments to agreements and standard documentation, managing in country law firms, reviewing legal filings on contentious matters, attending to employment law queries, drafting and following up on letter of demand and other credit related matters, attending to drafting and advising on settlement agreements, providing in country legal research on a variety of topics and supporting Company Secretarial with in country advice and drafting of company secretarial documents in French.

    Requirements

    • Admitted attorney qualified to practice law in any of the Francophone countries with at least 3 years post articles experience.
    • Proficiency in French and English
    • Knowledge of other jurisdictions in the region and worldwide is desirable;
    • Minimum of 1-2 years of relevant work experience, gained in private practice or experience in the Oil and Gas sector;
    • Minimum of 25% travel to the various countries;
    • Knowledge of the petroleum retail service station business is desirable;
    • A completed four year legal studies university degree from an accredited institution of higher learning. Good standing certificate with the professional body such as law society of South Africa;
    • Strong drafting and negotiation skills;
    • Familiarity on both common and civil contract law, regulatory law, competition law, environmental law, property law, dispute resolution and corporate laws (including OHADA Laws);
    • Experience of working in a fast-paced commercial environment and dealing with colleagues and advisors in other countries/time zones;
    • Ability to work independently when required, managing a number of matters simultaneously;
    • Comfortable with managing a busy workload of changing priorities and still be able to meet various deadlines.
    • Familiarity with standard MS Office computer software and online resources;
    • Excellent oral and written communication skills;

    Corporate Restructuring Lead

    Main Purpose

    Reporting to the Group Company Secretary, the successful applicant will work alongside the Regional Company Secretaries and extended members of the wider Legal and Tax teams in managing corporate legal restructuring projects and related administration for all Puma Energy group companies globally, as well as assist in drafting, reviewing and implementing related documentation in connection with the restructuring and compliance activities of the various companies. The role requires an individual who can take the lead on, and responsibility for, restructuring projects affecting a wide portfolio of companies in multiple jurisdictions as well as ad hoc duties. The individual will manage restructuring projects of various sizes that relate to corporate (share / asset transfers, dissolutions & winding up, new entity creation, etc.) as well as financial (intercompany loan creation, loan novation, assignment, cessions, waivers, dividend declarations, contributions in kind, etc.) aspects of the business

    Key Responsibilities

    • Ownership of the company secretarial matters related to the Group’s restructuring projects and administration and management of all corporate secretarial and compliance related matters for the restructuring project portfolio across a variety of jurisdictions globally. Responsibilities will include:
    • Assisting with preparing and setting up new legal holding structures, joint ventures and restructuring plans (including the drafting and reviewing of associated legal documentation, such as share purchase agreements, intercompany financing and other agreements) as well as the coordination of board minutes, resolutions, powers of attorney and proxies, General Meetings, new incorporations, share transfers and issuance etc.
    • Drafting, coordinating and managing the timely and accurate execution of legal and corporate documents – resolutions, board minutes, powers of attorney, share transfers, loan and services agreements, and the like, related to restructuring projects.
    • Acting in an advisory capacity to the business and its directors
    • Liaising with and supporting internal group functions (including legal, tax, finance, treasury) as well as external suppliers, professional advisors (audit and legal) and company agents.
    • Assisting the Group Company Secretary and the corporate tax department with larger and project specific corporate structuring and re-structuring matters, including the preparation, vetting and implementation of step / action plans, joint-venture management and holding structure changes.
    • Assisting the Group Company Secretary with ad hoc corporate secretarial work for the Puma Energy group.

    Requirements

    • Experience in corporate and financial restructuring as well as familiarity with legal and company secretarial requirements in a regulatory environment, including company law principles and corporate governance best practice. Knowledge of multiple jurisdictions worldwide is highly desirable.
    • At least 5 years of relevant work experience, gained in an in-house legal, auditing, accounting, tax or company secretarial department, or with a professional services provider in a corporate secretarial role.
    • Relevant academic background; law / finance degree and/or ICSA qualification required.
    • Financial analytical skills and experience in operational restructuring, corporate finance, or strategy consulting advantageous.
    • Experience working in a fast-paced commercial environment and dealing with colleagues and advisors in other countries/time zones.
    • Ability to work independently when required, managing a number of matters simultaneously.
    • Comfortable with managing a busy workload of changing priorities.
    • Fluent English; other languages desirable but not essential.
    • Familiarity with standard MS Office computer software and online resources.
    • Excellent oral and written communication skills.

    Compliance Manager - Investigations

    Plan and execute investigations into possible violations of the Puma Energy Code of Business Conduct, company policies and processes, and relevant laws, including evidence gathering and analysis, conducting interviews and writing high quality reports for an audience of leaders in the organization up to and including the Executive Committee.     • Assessing incoming violations; conducting interviews; gathering evidence; providing summary reports; participating in key meetings; and assisting with coordination of risk assessment and providing triage on investigation matters.
    • Ensure that investigations follow the approved process, are lawfully and objectively completed and are thorough.
    • Supervise internal inquiries and investigations dealing with compliance and ethics related matters
    • Manage the whistle blowing line and case management system
    • Support the Global Head of Compliance to ensure implementation of appropriate policies and procedures, support compliance training, conduct investigations and maintain a system of reporting and ensure the integrity of all compliance investigations.
    • Ensure the Compliance Program effectively promotes prevention, detection, and resolution of instances of improper conduct to ensure conformity to state or federal laws, regulatory requirements, and the standards of conduct.
    • Support the development and implementation of programs to ensure effective compliance.
    • Assist with creation and revision of policies and procedures supporting the elements of an effective compliance program.
    • Develop and deliver training or other methods to ensure all colleagues are educated regarding current developments in compliance investigation, including developing tools for use by internal customers.
    • Work with key stakeholders in HR, IA, and legal to effectively manage and control relevant investigations
    • Collaborate with key stakeholders to implement corrective action and improved controls.
    • Maintain business relationships and act as liaison with teams on compliance investigation
    • Keep abreast of all relevant laws affecting Puma Energy’s activities and the Code of Business Conduct and ensure that all employees are aware of such laws;
    • Understand and follow internal and external reporting requirements;
    • Liaise with external counterparts on Compliance- related
    • Report to the Global Head of Compliance and Ethics on all investigations and issues
    • Support on global projects, as may be required.
    • Model compliance behavior within his / her area of responsibility.

    Requirements

    Education

    • Bachelor degree in Law, accounting or forensics.

    Experience

    • Previous substantial experience in the field of corporate investigations with an instinct for objectivity, critical analysis, and balanced assessment, combined with courage and empathy.
    • Experience in either Compliance, Law or in a Finance auditing capacity.
    • Experience of analysing complex financial or business information and identification of risks
    • Experience of communicating at all levels including drafting investigation reports, escalations and presenting to senior stakeholders
    • International experience

    Knowledge

    • In depth knowledge and experience of all aspects of investigation techniques (for example evidence gathering, interviewing and disclosure, etc.) and legal requirements for the conduct of investigations.
    • In depth experience of leading, decision making and delivering outcomes on complex investigations.
    • Thorough knowledge in the application of data analytics and forensics in investigations utilizing multiple data sources.

    • Excellent writing skills and presentation skills, with the ability to communicate complex issues to senior level clearly and concisely.
