    Legal Manager

    Job Description

    • An experienced professional that will provide expert legal knowledge and support to Experian Africa which includes responsibility, but not limited to, all legal, regulatory, and related matters to support business growth.
    • Responsible for the contract management process to ensure legal liability and general risk is limited.
    • Provide legal advice to minimise and/or mitigate financial and reputational risk, by ensuring compliance and providing advice in accordance with business objectives, internal governance processes, best practice, and legislation to all subsidiaries of the group.
    • To provide industry input on Experian’s position, represent Experian in external forums (industry and client engagements) as well as identify trends and synergies for the benefit of Experian.

    Qualifications

    What is required ​​​​​​​

    • LLB Degree, articles completed. Admitted Attorney
    • Minimum of 5 years post article experience as Legal Advisor in corporate firm or as an associate at a law firm
    • Expert legal knowledge
    • Minimum of 5 years’ experience in drafting, reviewing, editing agreements, contracts and corporate documents
    • Demonstrated working knowledge of the NCA, CPA, Companies Act, King IV, Employment related laws, BBBEE, PAIA and POPI
    • Minimum of more than 5 years’ experience in providing expert legal advice to businesses cross border
    • Minimum of 5 years’ experience in corporate governance
    • Minimum of 2 years’ experience in leading a team
    • Working in a matrix environment is desirable

    What you’ll be doing

    Research, draft memorandums, position papers, opinions and advice

    • Conduct research and provide on-point and accurate legal advice to internal stakeholders to ensure that corporate activities are in line with applicable laws.
    • Review all relevant legislation impacting the business.
    • Ability to translate legislative requirements into practical, actionable operational outcomes.
    • Provide advice on all legal liabilities and take steps to control company exposure.
    • Liaise with relevant departments to ensure that where legal risk has been identified, appropriate course of action have been taken.
    • Establish, document and implement a corporate governance and regulatory framework.

    Contract and Document Vetting, Drafting and Management

    • Reviewing, drafting and/or negotiating agreements (Internal and External Agreements) relating to various commercial activities
    • Provide technically correct and accurate contracts reflecting the intentions of the parties.
    • Formulate, provide, advise and review all contractual agreements between the company and third parties to ensure that the interests of the company are protected and the best commercial position, maintained.
    • Establish and maintain a contract repository, track contract renewals and contracts management system
    • Maintain, review and update standard agreement templates regularly
    • Draft resolutions
    • Assist with M&A transactions

    Administration and Record Keeping

    • Maintain custody of legal documents.
    • Proper documentation handling and record keeping of all agreements and related legal documentation.
    • Draft legal policies and procedures
    • Ensure legal risks are captured in the risk register
    • Ensure all contracts are in line with regulatory and internal governance processes

    People Management

    • Set performance goals, conducti performance reviews and personal development plan (PDP) discussions to ensure that employees in your team are clear on deliverables and are developed
    • Assist with the allocation of work to resources when the volume of work increases or there is a shortage of resources, to ensure that the prioritised deliverables are met
