    Legal Tracer

    We are looking for reliable Tracers to join our new tracing team to locate debtors using internal resources and social media.

    Job Description

    • Responsibilities
      • Tracing debtors
      • Confirm information of relevant parties
      • Investigate and resolve discrepancies
      • Serves as a resource/subject matter expert and may provide training to fellow team members

    Qualifications

    • Matric
    • 2+ years’ experience in tracing
    • Must have experience working for legal / law firm specialising in legal debt collecting (not beneficiary claims
    • Must have experience in using tracing systems CPB, XDS, ITC and the like
    • Tracing using social media and other similar sources is beneficial
    • Computer literate

    Junior Company Secretary

    Job Description

    • Experience
      • 2-3 years’ experience as a company secretary, in the risk management and compliance department and/or in Legal Counsel

    Responsibilities

    • Section 88 of the Companies Act
      • Guiding directors in order to ensure compliance with the board charter and relevant regulatory instruments
      • Identify any failure on the part of the company or a director to comply with the Memorandum of Incorporation or rules of the company or the Companies Act.
      • In terms of section 33 of the Companies Act, ensuring the prescribed fees and prescribed forms are submitted to the Companies and Intellectual Properties Commission (CIPC) including the annual return; AFS in XBRL; annual checklist.
    • Committee meetings
      • Draft the annual committee meeting plan and administration thereof.
      • Recording of Directors’ attendance and fees due.
      • Compilation of internal committee meeting documentation (Internal Risk Committee)
      • Drafting of internal committee meeting minutes (ALCCO and Internal Risk Committee)
      • Drafting of internal committee meeting minutes (ALCCO and Internal Risk Committee)
    • Annual General Meeting (AGM)
      • Draft the notice of AGM, the agenda and required resolution
      • Ensure the attendance register is prepared, keep a record of proxy votes received, and calculate the voting results for the resolutions.
    • Legal work and CIPC
      • Maintain a register of company directors including contact details, directorships etc.
      • Maintain a record of all conflicts of interest disclosures.
      • Co-ordinate induction for new directors, when necessary.
      • Review the board and all the sub-committee charters.
      • Co-ordinate and summarise the results of the annual board and sub-committee evaluation questionnaires.
      • Draft resolutions and co-ordinate the required signatures.
      • Keep the CIPC records of directors, office bearers, registered address, auditors etc. up to date (new appointments, resignations etc.)
      • Review share registers monthly to ensure they reflect all share movements.
    • Ad-hoc
      • Keep a record of all Trustees and assist Payroll when changes to the trustees are required.
      • Maintain all FICA documentation and respond to ad-hoc requests.
      • Assist with queries from the external auditors during the year-end audit.
      • Assist with ad-hoc requests.

    Qualifications

    • A Bachelor of Commerce in Law degree/Chartered Secretary Qualification.
