Provide advice to all areas of the company with respect to life reinsurance treaties, transactions, structures and initiatives as required (including completion of due diligence, review, negotiation and conclusion of treaties).
Review, and provision of advice to claims department in relation to large and/or contentious claims.
Provide legal advice to senior executives in relation to (re)insurance, regulatory, corporate and commercial, labour relations, BBBEE (as read with FSC), tax, health and safety, contract, data protection, consumer protection, exchange control and intellectual property matters as they arise.
Work with management to monitor and respond to developments in reinsurance and related regulatory proposals.
Serve as regulatory Head of the Compliance Function for South Africa with responsibility for all aspects of the local compliance function.
Provide advice to Global Legal Services Department with regard to the implementation and interpretation of the organization’s data protection and global economic sanctions policies, and other policies and compliance programs.
Provide assistance to the Senior Vice-President, International and/or the Chief Legal Counsel, EMEA with regard to multi-jurisdictional projects which involve South Africa and Middle East.
Establish effective corporate governance structures for RGA subsidiaries in South Africa consistent with RGA Group standards and in accordance with legal requirements.
Serve as the corporate secretary to RGA subsidiaries and committees in South Africa and Middle East and attend to all statutory requirements.
Representation at local industry representative bodies in legal capacity.
Liaison with Regulators, maintain good relations;
Provision of advice on all projects, including business expansion into Africa and Middle East (review of relevant legal, regulatory issues, entity advice, treaty negotiation), and alternate distribution projects.
Requirements
Admitted as an Attorney or Advocate of South Africa
Management experience
Ten or more years’ experience in (re)insurance, corporate-commercial, , transactional and regulatory law gained either in-house or in private practice;
General knowledge of commercial laws, merger & acquisition transactions, and business transaction documents;
General knowledge of employment law and Human Resources practices;
Expert knowledge of corporate governance issues in South Africa & Middle East;
Experience with life (re)insurance transactions and regulations, or working knowledge of life insurance company operational infrastructure (actuarial, underwriting, claims, treaties, etc.);
Excellent contract review and negotiation skills and practices;
General knowledge or experience with data protection/privacy issues (POPI & GDPR);
Experience in business expansion into new jurisdictions;
Experience in international law or business or in a multi-national organization;
