    Legal Counsel

    About the job
    We are seeking a Legal Counsel, based in Johannesburg, working work a leading Mining Company. 

    You will be reporting to the CEO and will essentially implement and support the effective and efficient provision of Corporate Services within the business. You shall provide legal, governance and compliance support to the organisation.

    Requirements

    • LLB undergraduate degree (NQF 7)
    • Admitted as an Attorney of the High Court of South Africa.
    • 7 years commercial, legal or company secretarial experience.
    • Experience in drafting contracts, policies and other legal documents
    • Mining industry experience is preferential.
    • Chartered secretary qualification would be an advantage
    • Driver’s license
    • Computer literate

    Responsibilities

     Legal & Commercial Support

    • Drafts and reviews commercial contracts, credits agreements and other relevant legal and commercial documents.
    • Provides first line legal support and advice to the business.

    Financial and budgetary effectiveness

    • Regularly and appropriately responds to spend against budget.
    • Manages and reports legal and branding expenditure according to financial procedure.
    • Follows procurement standards and ensures adherence to the prescribed budget and time frames.

    Record keeping and Knowledge Management

    • Designs, implements and manages a document management system for accurately managing, saving and monitoring all company records including contractual and statutory documents.
    • Manages and monitors all relevant corporate information and records ensuring effective knowledge management for the organisation.

    Regulatory compliance

    • Monitors changes in legislation and prepares updates to relevant heads of department, executive managers and board members.
    • Compiles and updates compliance check-lists to be used for the purpose of monitoring compliance with regulatory framework.
    • Assists with the preparation of annual compliance reports for relevant stakeholders.

    Governance

    Provides company secretarial duties to the CEO, Board of Directors and Executive Committee including:

    • Managing information and knowledge flow through the business;
    • Organising and preparing for board meetings and annual general meetings;
    • Maintaining documentation required for legislative and regulatory compliance purposes;
    • All annual returns;
    • Administering Board and Public Officer appointments and registrations;
    • Drafting Board and Board Committee meeting minutes and resolutions.

    Communication

    • Drafts company communication and press releases to ensure that information is disseminated effectively and efficiently internally and externally.
    • Compiles and designs communication templates and forms to ensure the consistent use of the brand.

    Personal Development

    • Manages own performance in terms of agreed performance objectives.
    • Identifies gaps in own development and creates and reviews development plans to increase performance and ensure personal development.
    • Works to master skills and competencies within own role to ensure personal development and performance.
    • Actively participates in relevant industry forums to ensure and increase understanding of industry trends and market environment.

    Customer Relations Management

    • Management of internal customer expectations; identifying performance standards, customer requirements and the effective delivery of legal services to the business.
    • Manage the legal functions performance in terms of agreed "Service Level
    • Agreements" and agreed KPA/KPI's and effectiveness areas.
    • Driving customer satisfaction throughout the provision of support and legal practice activities.

    Stakeholder engagement and management

    • Manage relations with internal and external stakeholders to promote objectives of the company.
    • Ensure that the needs of organisational stakeholders are prioritized and managed

    Market related Package / Patterson Grade D
