    Associate Commercial Lawyer (Admitted Attorney & commercial contract drafting essential)

    What you'll do

    Reviewing, negotiating and advising upon commercial contracts including:

    • Non-Disclosure Agreements
    • Services Agreements (as Vendor and as Customer)
    • Data Processing Agreements (POPIA, GDPR, UK GDPR, CCPA, HIPAA)
    • Channel Partner Agreements (including distribution)
    • Technology Alliance Agreements
    • Software License Agreements
    • Assisting with legal advice in respect of commercial transactions and contract-related issues
    • Assisting with the submission of responses to Requests for Information/Requests for Proposals, relating to both public and to private sector entities
    • Drafting contractual provisions and standard terms
    • Advising on anti-trust and competition law requirements
    • Reviewing and updating contractual templates and maintaining version control
    • Assisting with contractual policy and process development
    • Formatting, proofing and finalising contractual documentation and managing the appropriate signature process
    • Legal research and analysis
    • Providing support for legal operations initiatives and representing the legal team in cross-functional project meetings
    • Assisting with legal due diligence and other ad hoc corporate matters

    What you'll bring

    • Qualified Lawyer with current practicing rights in any of the following locations: United Kingdom, Republic of South Africa, Massachusetts, USA New York, USA, Delaware, USA or California, USA
    • Post qualification experience, working within the technology (preferably SaaS) space negotiating, drafting and advising on commercial contracts
    • Experience of Data Protection Law and/or IP Law would be an advantage

    Privacy and Compliance Counsel (Admitted Attorney and Data Privacy Experience essential)

    What you'll do

    • Monitor and assess compliance with key global privacy and data protection regulations, statutes, and guidance issued by competent authorities and administrative organizations, as well as any amendments and/or replacements thereof;
    • Providing legal guidance and training to teams within the Company, including internal Legal team(s), about developments, trends and best practices regarding key global privacy and data protection regulations and practices;
    • Providing guidance and working directly with cross-functional teams for the development of and updates to data privacy and data protection practices, templates, policies, and procedures;
    • Working with global transactional attorneys within the internal Legal team to facilitate the negotiation of privacy and security terms with customers, partners, and suppliers;
    • Supporting inquiries and investigations relating to the Company’s data privacy practices, including facilitating DSARs;
    • Negotiating agreements in accordance with global privacy requirements and Company practices;
    • Providing legal advice and practical business guidance to all levels of management and employees on matters related to privacy, data protection and other compliance matters; and
    • Supporting the Company’s general compliance program.

    What you'll bring:

    • Experience in cybersecurity and/or technology (SAAS/cloud preferred)
    • In-House experience a plus but not required
    • Qualified to practice law (Admitted Attorney)
    • As a global company with offices all over the world, you should be comfortable in a global operating environment, have the ability to travel internationally, and be able to function in a global time-zone environment.
    • Substantive data protection and data privacy experience and knowledge of U.S. and international privacy statutes and regulations, including GDPR, CCPA, HIPAA, POPIA, etc.;
    • Sound experience drafting policies and guidance documentation, developing and conducting training programs, as well as drafting and negotiating contractual terms
