    Commercial and Contracting Lead

    Job Description

    MAIN JOB PURPOSE

    To collaborate with Account Leads, Pricing teams and Business Development Executive to support and prepare commercial agreements and contracts with customer and partners. Further support the Sales teams with BID activity requiring commercial and contracting input. Engage and establish relationships with customer and partner sourcing and negotiating teams.

    DRAFT ACCURATE CUSTOMER AND SERVICE SPECIFIC CONTRACTS AND PROPOSALS TO MINIMISE RISK TO THE COMPANY:

    •  Drafting, Evaluation, Negotiation and Execution of Contracts (various: including formal, short form, and annual contracts)
    •  Negotiate customer and service specific contracts and proposals in such a way that it will benefit the company both legally and in terms of business aspects,
    •  When drafting customer and service specific contracts / proposals, ensure that risks are minimised and that information is drafted accurately,
    •  Liaise with customers or respondents & their attorneys & advocates to conclude business,
    •  Non-Disclosure Agreements, Sales / Purchasing/ Reseller Agreements, Sub-contracts, Consulting Agreements, Licensing Agreements, review of customer proposed terms and conditions
    •  Distribution and Reseller Agreements
    •  Commercial and Public Contracting,
    •  On all standard and nonstandard contracts, provide redlined recommendations and often negotiate directly with customer attorneys or purchasing staff until consensus has been reached,
    •  As needed, provide guidance on contract matters to management or other operational staff,
    •  Monitor competitive terms. Monitor customer satisfaction with our terms and conditions and contracting practices. Recommend changes,
    •  Ensure that signed contracts are communicated to all relevant parties to provide contract visibility and awareness, interpretation to support implementation,
    •  Handle on-going issue and change management,
    •  Ensure Bytes commercial advantage,
    •  Work closely with division and legal counsel and Altron legal counsel when required,
    •  Back to back contractual creation, alignment, negotiations and closure.
    •  Provide commercial protection,
    •  Ensure contract close-out, extension or renewal,
    •  Able to draw up commercial contract clause
    •  Assertive negotiations,
    •  Delivery of equitable contractual outcomes,
    •  Operational level agreements (Intercompany and intergroup).

    CONCLUDE PROPOSALS/TENDERS FOR MAJOR BID SALES & SERVICES BEFORE DEADLINE DATES:

    •  Monitor compliance by company employees with established procedures,
    •  Work with Risk Management Department / Finance to coordinate contractual insurance requirements,
    •  Work with Finance to ensure adherence to broader finance and risk requirements such as revenue recognition, pricing and discounting policies, export controls etc,
    •  Support Product Management / Marketing to ensure company products and services are offered with appropriate, competitive terms and conditions.

    ENSURE QUALITY MANAGEMENT COMPLIANCE:

    •  Ensure adherence to the quality procedures for department,
    •  Clear all corrective actions within 14 days,
    •  Maintain contractual records and documentation such as receipt and control of all contract correspondence, customer contact information sheets, contractual changes, status reports and other documents for all projects,
    •  Ensure all Policies and Procedures are current and in line with both Altron and Best Practice,
    •  Ensure all Policies and Procedures are communicated, understood and adhered to at all times,
    •  Generate new policies in line with changing business needs, as and when necessary,
    •  Ensure that updates on templates are conducted and that the necessary, changes are made to ensure that these templates comply to all necessary corporate compliance standards, etc.,
    •  Develop and implement procedures as applicable to position and responsibilities, in compliance with company policy. As appropriate, contribute to or influence company policies.

    RELATIONSHIP MANAGEMENT:

    •  Build and provide solid client relationship with internal customers,
    •  Provide the client with guidance and assistance on contractual needs,
    •  Go through all commercial contracts with external suppliers / providers and ensure that there are no contractual risks for the company.
