    Statutory Specialist Governance, Risk and Compliance

    MAIN PURPOSE:

    The role entails taking full responsibility for Company Secretarial administration support for all Group (South African-registered) entities. The role play’s a key role in lodging and maintaining proper statutory records for the Group.

    The role is expected to output at a highly functional and detailed level. To this end, one of the key performance areas of the role is the end-to-end management of statutory lodgement and compliance.

    KEY RESPONSIBILITIES

    Duties include the following (but are not limited to):

    • Ensure all CIPC (or equivalent regulator) filing requirements and deadlines are met (such as annual returns; changes to company officers, auditors, registered addresses; MOI amendments; name reservations; deregistration and/ or incorporation of companies)
    • Maintain statutory records, as required by the relevant legislation
    • Maintain general Company Secretariat records such as: the group organogram, corporate registers (directorate lists) and corporate calendars; and communicate changes to stakeholders from time to time
    • Assist with the implementation and review (from time to time) of the King IV™ principles, JSE Listing Requirements and Companies Act 2008, to the extent applicable to the entities administered by the role
    • Manage the approval process of the annual financial statements for the entities being administered
    • Ensure that declarations of interests are updated on a quarterly basis for the Boards and Trusts within the Group
    • Attend to all FICA and/or KYC matters and requests received from the business
    • Manage the corporate letterheads, ensuring alignment with any statutory changes from time to time and communicate changes to relevant stakeholders
    • Manage the resolution process for all entities and ensure the timeous approval by relevant directors
    • Maintain accurate records of the issued share capital of the private entities
    • Attend to general queries and instructions from stakeholders/business units
    • Build and maintain relationships with all stakeholders

    Special projects

    • Work with the extended cosec team to effectively manage, guide and deliver special/ad hoc projects and corporate actions to completion, as and when required
    • Perform any additional functions assigned from time to time

    KEY COMPETENCIES

    Governance knowledge

    • Working understanding of the Companies Act and King IV™
    • Full knowledge of the process and policy infrastructure of CIPC
    • Solid knowledge of the Company, in terms of the corporate structure in South Africa, Africa and Australia

    Organizational knowledge

    • Ability to execute this role at an operational level with a deep understanding of the statutory environment within South Africa

    Planning skills

    • Detail-driven with ability to work unsupervised and ensure that external and internal statutory compliance obligations are met on time

    Effective communication

    • Ability to deal and communicate effectively with senior management and other relevant external stakeholders – especially external regulators like CIPC
    • Aptitude to perform the role with discretion, diplomacy, tact and emotional intelligence
    • Ability to effectively communicate, both orally and in written form
    • Integrity, independence and solid judgment
    • Courage to raise issues and concerns and be accountable and transparent for all actions and decisions
    • Attention to detail

    JOB REQUIREMENTS

    • 3 to 5 years’ experience as a Company Secretarial Administrator; and/or
    • CIS Diploma; and/or
    • Paralegal diploma; and/or
    • Other qualifications will be considered based on depth of experience
