What will you do?
Perform full company secretarial, statutory, governance and administrative functions for SDM and its related statutory entities including ARL.
Remaining abreast of developments in corporate governance, ensuring that the company and directors adhere to the highest governance standards as detailed in King IV.
Submission of prescribed statutory returns to the Registrar of Companies and compliance with administrative regulations as required by the Companies Act.
Assist SDM CE and Sanlam SA Retail Mass ExCo , and related statutory entities, with compliance on the Companies Act and King III, and other legislative and regulatory requirements.
Drafting and preparing the CEO reports, speeches, presentations, correspondence, memoranda and documentation for the SDM CE.
Accountability for ensuring that all submissions relating to directors and key persons are made to the CIPC, Prudential Authority and Financial Sector Conduct Authority (FSCA).
Preparing relevant sections of the annual financial statements, regulatory reports, Notice of AGM, ancillary documentation and ensuring that regulatory deadlines are met.
Secure compliance with the Companies Act and the company’s’ Memorandum of Incorporation (MOI).
Continuous updates of the company’s Delegation of Authority, as required by good corporate governance.
Responsible for all customer relations and services issues addressed to the SDM CE.
Executing specified research/information projects and providing the information as contracted.
What will make you successful in this role?
A Chartered accountant / Lawyer (LLB and/or similar qualification) or degree with CIS or ICSA qualification will be advantageous
A minimum of 5 years’ experience in a similar position or operating on a similar level
Financial services industry experience
A wealth of knowledge and experience in drafting board resolutions, compliance, and accreditation
An understanding of the rules, regulations, sanctions and other statutory requirements, guidelines and instructions relating to governing bodies and organisations, both internally and externally
