    ICT Steering Committee Member

    Description:

    cidb is looking for two suitably qualified senior ICT professional to serve in the ICT Steering committee as a chairperson and additional independent member.  The applicants must dedicate time to the activities of the ICT Steering Committee by setting time to meet least four times a year depending on the activities within ICT programme. The term of office shall be three (3) years with an option to extend by another term.

    DUTIES AND RESPONSIBILITIES

    Fulfil oversight responsibilities related to the Corporate Governance of Information Technology, internal controls, legal compliance, external and internal audit. The chairperson will be expected to execute the following responsibilities.

    • The chairperson will prepare an agenda, in advance, for each meeting of the IT Steering Committee (ITSC).
    • Oversee the implementation of Frameworks such as ITIL/COBIT/ISO27001/ISO20000.
    • Provide inputs into the development and implementation of ICT strategies, annual plans, and budgets.
    • The chairperson will prepare summary reports of the committee for the CEO/EXCO and the Audit & Risk Committee.
    • All responsibilities contained in the appointment documents will be deemed to be contractually binding when the appointee has signed the copy the appointment letter.
    • The chairperson will ensure that the ITSC monitors adherence to Corporate Governance of ICT Framework Policy & Charter of CIDB.
    • Ensure IT risks are managed, and transformational projects are delivered in line with strategic goals of CIDB.

    Requirements:

    • A bachelors’ degree with minimum of 10 years’ experience in senior management in ICT.
    • A qualification in ICT governance / Audit or ITIL or Institute of directors or COBIT will be an added advantage.
    • Demonstrated strong leadership and ICT skills.
    • Three years’ experience in both ICT steering committee and/or Audit & Risk committee.
    • Previous experience as chairperson or ordinary member of steering committee in public sector is highly desirable.
    • Experience in ICT programme management at leadership level.

    Company Secretarial

    Description:
    KEY RESPONSIBILITIES: 

    • Support the execution of Executive Committee and the Board responsibilities: Provide guidance and support to the cidb Board, its committee(s), and the Executive Management on corporate governance , Facilitate the Board strategy sessions and coordinate documentation associated in addition to that, Ensure that the relevant governance structures, and committees, are in place, Ensure alignment and integration between Board responsibilities and Executive Management functions, Provide legal advice to the Executive Committee and the Board, Ensure that cidb meets all its legislative, statutory, and critical stakeholder obligations 
    •  Oversee cidb corporate governance: Provide the company's executives collectively and individually with guidance regarding their duties, responsibilities, and powers, Reporting legal non-compliance to the Board of Directors and shareholders of the company 
    •  Oversee regulatory compliance: Ensure compliance with the cidb regulations and Kings Commission III, Ensure compliance with PFMA (Public Finance Management Act) 
    •  Manage CIDB's performance against the "Code of Conduct.": Coordinate compliance with the company "Code of Conduct" 
    •  Formulate delegations and terms of reference 
    •  Ensure the establishment of a framework for the delegation of authority 
    •  Ensure that the company is and is seen to be a responsible corporate citizen 
    •  Ensure that the company’s ethics are managed effectively 
    •  Formulate delegations and terms of reference.  
    • Draft contractual negotiations: Provide input for all cidb contractual negotiations 
    •  Ensure the legal advisor provides adequate input and advice 
    •  Provide comments and make changes to ensure minimal risk to cidb 
    •  Check the legality of the Commercial components of the agreements 
    •  Involve subject matter experts regarding Commercial components of the agreements 
    •  Negotiations with 3rd parties in certain instances to ensure the contracts include all relevant aspects. Ensure that all company secretarial documents are up to date: Ensure the maintenance of all statutory records according to specifications 
    •  Ensure the statutory maintenance returns by filing information with the registrar of companies to report on specific changes regarding cidb or comply with periodic filing requirements 
    •  Oversee the maintenance of cidb’s register of members. Strategic Planning: In consultation, provide input into the formulation and development of plans for the unit 
    •  Develop a forecasting model 
    •  Ensure development and implementation of relevant policy and procedure 
    •  Ensure development, implementation, and monitoring of relevant strategic and operational plans. 
    • Risk and Financial Management: Identify and manage risks in the area of responsibility 
    •  Ensure timely budgeting, monitoring, variance analysis, and reporting 
    •  Ensure that planning takes place, that specifications are developed timeously, and that there is compliance with supply chain prescripts 
    • •Ensure the unit's assets are managed, maintained, and kept safely. People Management: Manage the performance of subordinates in accordance with the policies and procedures of cidb 
    •  Oversee the development of Personal Development Plans for subordinates and ensure implementation 
    •  Discipline subordinate as and when necessary, in accordance with cidb policies and procedures.

    CORE COMPETENCY:

    Requirements:
    EDUCATIONAL REQUIREMENTS: 

    • A bachelor's degree in business administration, commerce, law, finance, or a related field.

    EXPERIENCE: 

    • Eight (8) professional experience; 
    • Three (3) years as a Company Secretary in a medium to large organisation. 
    • Admission as an Attorney is an added advantage. Formal training in Corporate Governance (i.e. IoD SA part 1-4 or equivalent) will be an added advantage.

    REGISTRATION REQUIREMENTS: 

    • Legal Practice Council (LPC) will be an added advantage. 
    • Registration with Chartered Secretaries Southern Africa (CSSA) / Chartered Secretary (CIS) will be an added advantage..

    Manager: Regulatory Compliance

    Description:

    Oversee Regulation 

    • Ensure the uniform application of policy/ legislation /strategy implementation
    • Oversee the appropriateness of specific legal/policy procedures for implementation
    • Review specific legal/policy/strategy requirements with other departments
    • Oversee the development of operational standards, trends and requirements
    • Oversee the implementation of a regulatory compliance framework.
    • Oversee and approve activities with regards to the legislative process.

    Oversee Compliance

    • Oversee the implementation and maintenance of the compliance management system
    • Oversee that cidb’s service delivery framework is in line with legislation
    • Oversee reports for submission to senior management, Council, Auditor General, etc. outlining compliance with legislation, motivating deviations and recommending corrective actions
    • Oversee the performance of the all compliance programs and relate activities on a continuing basis taking appropriate steps to improve its effectiveness
    • Oversee the relationships with the appointed service providers and government departments regarding system defaults, problem shooting and improvements
    • Ensure that transgressions are handled within a regulated process.

    Operational Planning

    •  Provide input into the formulation and development of plans for the unit in consultation
    • Develop a forecasting model · Ensure development and implementation of relevant policy and procedure
    •   Ensure development, implementation and monitoring of relevant strategic plans and operational plans.

    Risk and Financial Management

    • Identify and manage risks in area of responsibility
    • Ensure timely budgeting, monitoring, variance analysis and reporting
    • Ensure that Procurement Planning takes place, that specifications are developed timeously and that there is compliance with supply chain prescripts
    • Ensure the Unit’s assets are managed, maintained and kept safely
    • Weigh up financial implications of propositions and align expenditure to cash flow projections
    • Prepare and control the budget
    • Evaluate and monitor all unit expenditure · Ensure that all expenses incurred by the unit are in line with the PFMA and accounted for
    • Ensure that there is expense control exercise within the unit
    • Reconcile unit monthly expenditure report received from finance.

    People Management

    • Manage the performance of subordinates in accordance with the policies and procedures of cidb
    • Oversee the development of Personal Development Plans for subordinates and ensure implementation
    •  Discipline subordinate as and when necessary, in accordance with cidb policies and procedures
    • Ensure interaction of different departments.
