LLB Degree or Admitted attorney or Advocate A master’s degree (LLM), Chartered Secretary (CIS), will be an added advantage.
Admitted as a legal practitioner (Attorney or Advocate)
5-10-years relevant experience in a legal environment or in a public sector corporate secretariat environment
5 years of consecutive experience as a Company Secretary Membership of the Chartered Governance Institute of Southern Africa or Chartered Secretaries Southern Africa or relevant (added advantage)
Knowledge of governance best practices and compliance in terms of King IV Code, legislation, regulations, frameworks and other instruments applicable to the public sector
Key Functions
Ensure effective functioning of governance structures and promote high standard of corporate governance across the organisation Co-ordinate and facilitate Regulator/Committee meetings, including meeting packs for all meetings
Develop Regulator work plan, schedule Regulator meetings, liaise with Chairperson, Committee Chairpersons and CEO to prepare meeting agendas
Provide detailed guidance to members on their legal duties, powers and responsibilities Arrange, prepare and disseminate agendas for Regulator/Committee meetings
Ensure that the proceedings of the Regulator/Committee meetings are accurately recorded Facilitate approval of Annual Regulator/Committee work plans Monitor Regulator/Committee action plans to ensure plans are being addressed timeously and obtain feedback on specific agenda items
Maintain Regulator records and registers Facilitate logistical arrangements for Members, including preparation of monthly Remuneration Schedules Develop/ review Regulator/committee structures and Charters/Terms of reference on an annual basis
Attend to annual review/drafting of terms of reference, schedules and other legal instruments Present reports and fulfil ad hoc requests of the Regulator members ·Facilitate Members induction and training and ensure regulator training is conducted on key legal, governance and regulatory obligations
Relevant tertiary qualification at NQF level 7, an undergraduate qualification in supply chain management or equivalent qualification Must have at least 5 years experience in supply chain management of which 3 years should have been in supervisory level Be able to demonstrate knowledge of the Public Finance Management Act, Treasury Regulations, Practice Notes, Circulars and policy frameworks, Broad Based Black Economic Empowerment Act 53 of 2003, the Preferential Procurement Policy Framework Act and other relevant public sector procurement legislation. Knowledge and experience of contract management, strategic sourcing, public sector supply chain models and processes.
Understanding of delegation of authority. Be competent in administrative skills, Microsoft Word and Excel and National Treasury guidelines. Proven track record in operating compliant Public Sector SCM unit.
Key Functions
Manage demand management and acquisition and ensure full compliance to all acquisition and demand management prescripts, policies, and delegation of authority. Assist with drafting specifications. Co-ordinate inputs in demand and/or procurement plan.
Conduct market and commodity research. Maintenance of/Compliance with CSD Ensure that procurement is in line with approved demand plan/procurement plan.
Ensure effective functioning of all Bid Committees. Develop and implement internal control measures for procurement and ensure that quotations and bids are managed effectively and efficiently according to National Treasury prescripts and PRSA Supply Chain Management Policy.
Communicate SCM policies and procedures to staff in the PRSA and ensure that documents submitted for procurement are fully compliant with Acquisition Management prescripts. Monthly reporting of procurement, irregular, fruitless and unauthorized expenditure.
Monthly reporting on procurement against Demand Plan/Procurement Plan. Management and supervision of section. Contribute to execution of the Regulator's ,amdate as well as the APP ·
Manage the supply chain function within the Regulator both for quotation processes as well as tender processes; Maintain the SCM Policy Develop & maintain professional relationships with suppliers Manage SLA's with suppliers and PRSA, ensure effective control of stock Monthly SCM reporting, prepare & monitor procurement plan Contribute to internal audit processes
Degree in law LLB (or equivalent) is required; 5 years minimum post qualification, legal experience, minimum 2 years exp. in compliance Knowledge of National Ports Act, PFMA, BCEA, POPIA, PAIA, LRA and other relevant legislation
Experience in risk management will be an advantage CISA Membership will be an added advantage; experience within the Ports or Maritime Environment would be an added advantage; Excellent analytical, research, legal and report writing capabilities·
Excellent communication and interpersonal skills; be in possession of a Code B Driving licence.
Key Functions
Develop, implement and monitor compliance programme and frameworks; Conduct compliance risk assessment and maintain Compliance Risk Management Plans;
Monitor compliance to applicable regulatory requirements and policies; Ensure management of compliance risks impacting the organisation;
Drafting and reviewing of policies; ·assist management with understanding the applicable regulatory requirements; · update and advise management on legislative changes and the impact thereof on the organisation;
Monitor compliance of the National Ports Authority in line with the National Ports Act; Conduct compliance audits; Develop awareness material on relevant regulatory requirements that impact the business of PRSA; · conduct research on regulatory compliance matters;
Perform any other duties related to monitoring and compliance functions of the Ports Regulator of South Africa. Provide ad hoc legal support such as drafting of contracts, legal opinions and memoranda.
