Our client, a property company based in Sandton, is seeking an experienced Company Secretary to ensure statutory compliance, sound corporate governance, and effective support to the Board and executive management.
Salary: Market-related, depending on experience and qualifications.
Minimum Requirements:
Relevant qualification in Company Secretarial Practice, Corporate Governance, Law, Business Administration, or related field.CIS / CSSA qualification advantageous.Minimum 5 years’ experience in a company secretarial or governance role.Experience in the property, real estate, or asset management sectorStrong knowledge of the Companies Act, CIPC processes, King IV, statutory compliance, and corporate governance.Excellent minute-taking, drafting, administration, and organisational skills.High attention to detail, confidentiality, and ability to meet deadlines.
Key Responsibilities:
Ensure compliance with the Companies Act, King IV, MOI, Board Charter, and relevant governance requirements.Prepare agendas, Board packs, resolutions, minutes, and action items for Board, committee, shareholder, and trustee meetings.Maintain statutory records, company registers, share registers, director records, and beneficial ownership records.Manage CIPC submissions, annual returns, director changes, statutory filings, and related administration.Advise the Board and management on governance and compliance matters.Liaise with directors, shareholders, auditors, legal advisors, regulators, and other stakeholders.Support governance and compliance matters relating to property entities, SPVs, trusts, body corporates, and property holding companies where applicable.Assist with legal documents, resolutions, policies, contracts, and recordkeeping.
