    Fund Accountant

    Role summary:

    • We are seeking a Fund Accountant, reporting to a Manager within the Alternative Asset Services of Apex, to have responsibility for the preparations of accurate portfolio valuations on a timely basis. You will typically be responsible for the preparation/overseeing of a number of client portfolios (underlying accounting, financial statements preparation, regulatory requirements) including the development and mentoring of more junior team members and providing the highest quality of customer services portfolio.

    Key responsibilities:

    • Working with the manager and Director to ensure the planning, coordination and completion of NAVs;
    • Management Reporting and Statutory Reporting of corporate entities to ensure the team complies with all of its accounting and regulatory obligations and requirements including listing requirements and client reporting;
    • Assist with the w and mentoring of a number of trainee fund accountants;
    • Liaising with fund managers, brokers, and custodians to communicate information and resolve issues on a timely basis;
    • Ensure that client responsibilities are managed effectively and to agreed client, best practice, regulatory and statutory deadlines;
    • Assisting the external auditors to ensure the audit function is executed on a timely and efficient basis;
    • Performing any additional responsibilities that may be required in the support of the on-going management and development of the division;
    • Preparation of monthly, quarterly, annual NAV’s;
    • Management accounts and IPD’s; and Preparation of annual statutory financials statements.

    Skills / experience:
    Commerce degree with:

    • Financial Accounting 3;
    • Taxation 1;
    • Auditing 1 OR Internal Auditing 2 or Internal Control & code of Ethics;
    • Corporate Law 1 OR Commercial Law 2;
    • Management accounting;
    • Started or interested in starting SAIPA articles;
    • Proficient in MS Excel; structural and detail orientated;
    • Good analytical and problem-solving skills;
    • Excellent interpersonal and teamwork skills;
    • Ability to prioritize work and meet strict deadlines;
    • Excellent communication and organisation skills;
    • Motivated and driven and Minimum of 2 years fund related accounting experience;
    • Private Debt and Capital Markets knowledge will be a distinct advantage.

    Legal Counsel

    Job Specification 

    • Draft, review and negotiate corporate documentation, client service agreements and NDAs;
    • Assist and advise our operational teams and business leaders on all issues relating to fund servicing matters;
    • Advise on data protection issues in the context of client and vendor service contracts;
    • Assist in group wide integration projects;
    • Help maintain and develop our library of template client service agreements in accordance with industry best practice;
    • Provide day to day legal advice across all Group business lines to best meet their business needs, maintaining good working relationships through active communication, facilitation and teamwork.

    Skills Required

    • A solicitor qualified in South Africa or another common law jurisdiction;
    • At least 5 years of experience within fund services or the wider financial services industry (in-house or private practice). Candidates with less experience will be considered on an exceptional basis;
    • Be comfortable/competent in dealing with general service contracts;
    • Be highly motivated and a self-starter with the ability to work semi-supervised supporting a fast-paced dynamic business;

    Senior CDD Reviewer

    We are seeking a Senior Administrator reporting to a Manager within the Central Review Team to have responsibility for the completion of periodic reviews for the Jersey client portfolio.   Working closely with the client relationship teams across Private Equity, Real Assets, Corporate and Debt to view entity records and ensure timely completion of remediation tasks.

    Key duties and responsibilities

    • Completion of periodic reviews on an annual basis for Jersey entities across all product lines. This will include:
    • Reviewing statutory records, board minutes, correspondence and other documents in entity files to ensure records are accurate and up to date;
    • Checking adequacy of CDD held for all individuals and entities involved in the structure;
    • Liaising with the client services teams to resolve specific queries identified during the review;
    • Raising tasks on Console (risk management system) and following up with client service teams to ensure completion of remediation items on a timely basis;
    • Liaison with the lead directors to obtain approval of the completed reviews and highlight any changes in risk to be reflected in the entity’s risk scorecard;
    • Assisting the wider Operations Teams with other projects / tasks as may be required from time-to-time to support the strategic development of the central team, such as assistance with entity and investor onboarding or working on Compliance ad hoc projects;

    Qualification and Experience

    • A professional qualification relevant to trust and company administration.
    • Minimum of 3 years’ experience in the finance industry.

    Skills Required

    • Excellent communication and organization skills.
    • An understanding of statutory laws and other related legal and regulatory requirements (e.g. anti-money laundering laws and regulations).

    Senior Associate - Company Secretary

    As a member of the COSEC Team, you will be expected to work in collaboration with other members of the Team, assist and support in providing administrative, compliance and regulatory services of to overseas client Companies, in accordance with applicable policies and procedures, regulatory requirements, service levels and company standards so as to satisfactorily meet client expectations.

    The Role:

    • Understanding corporate and legal compliances as per jurisdiction in which client companies are located.
    • Handling compliances and documentation under the applicable anti-money laundering regulations.
    • Handling compliance relating to Board Meetings of overseas client companies as per applicable jurisdiction including scheduling of meeting, preparing agenda and compiling board packs and circulation of the same to directors.
    • Handling compliances relating to annual meetings of overseas client companies.
    • Attend Board Meetings and make notes for drafting board resolutions and minutes within applicable internal timelines and getting the same approved and signed by directors / Chairman.
    • Updating / renewing all regulatory documents of the client companies including statutory registers, returns, registrations, licenses, certificates, insurance, etc. and filling up applications, forms and uploading / downloading of documents required for the same.
    • Assisting the team in providing required documents for various purposes including banking and taxation requirements.
    • Assisting in audits including internal audits and risk assessments and reviews.
    • Maintaining and updating trackers as maintained by clients or internally and ensuring data integrity and confidentiality of internal and client information.
    • Drafting and vetting of agreements, contracts and documents.

    Manager Transfer Agency (Investor Services)

    Role Summary:

    • Apex Fund and Corporate Services is seeking to invite applications from candidates for a Transfer Agency Manager for its Cape Town office. This position will operate as a manager of the Investor Servicing team, responsible for overseeing resources, allocation of work training and optimizing processes. The position requires a firm knowledge of transfer agency processes and must always ensure adherence to all Internal transfer agency procedures in addition to both internal and regulatory AML requirements.

    The Role & Key Responsibilities:

    • Responsible for all aspects of operations and control functions within the team and to monitor operational risk across the team.
    • Responsible for reviewing controls and existing procedures across teams.

    Senior Administrator: Corporate Services

    The Role

    To provide administration services to Client Directors and Assistant Client Directors in Jersey in respect of their portfolios of trust structures and other corporate entities, under the direction of a local Assistant Manager and Manager. The role will require the administrator to build an understanding of their client structures and the applicable legislation of the jurisdiction in which each structure is set up. This role will be suited for an individual with an interest in trust law and the administration of corporate entities such as companies.

    Key Responsibilities:

    • Building a detailed understanding of client portfolios, entity specific requirements and applicable statutory regulations/requirements and act as a source of guidance to junior team members;
    • Work with team manager, assistant managers, client directors and assistant client directors to ensure the planning, coordination and completion of all regulatory obligations and client agreed deliverables within strict deadlines for the portfolio of entities are met;
    • Assist with arranging income and capital distributions to beneficiaries and to correctly document the same;
    • Check if tax calculations have been done and are on record;
    • Maintain and monitor diary notes and workflows;
    • Prepare and maintain accurate trust and entity summaries;
    • Deal with the termination/exiting of trusts and other corporate entities;
    • To ensure service delivered meets company policy and/or service level agreement;
    • Participate and provide support to all new business activities;

    Qualifications

    • 3 years of relevant industry/specialist experience in administration of trusts and working with corporate entities such as companies;
    • Has sound technical knowledge of their respective field;
    • Excellent attention to detail and high levels of accuracy;
    • Excellent communication and organization skills;
    • Learn and understand various jurisdictions legal and regulatory requirements, over time;
    • Act as a point of contact with internal or external stakeholders;
    • The jobholder will be required to assist in the administration of various portfolios of corporate entities and requires a combination of accounting, taxation, legal, investment, and commercial experience;
    • Ability to motivate and influence a team;
    • Should be fluent in English and attend to all correspondence in English.
