    Group Financial Accountant - Westville

    General description

    • Overall responsibility for completeness, accuracy and timely completion of all financial statements, including the annual report, in the Boxer Group, ensuring technical compliance with Companies Act, IFRS and JSE listing requirements. Creating a centre of excellence of technical and regulatory knowledge, applicable to all financial information matters across the Group as a whole.
    • The Group Financial Accountant (GFA) drives innovation in the financial reporting landscape. The GFA ensures that the cost and effort of regulatory compliance is managed to get maximum benefit for the Boxer Group taking into account stakeholder needs and requirements. 
    • New regulatory requirements are analysed timeously to ensure that systems and process across the Group (including all subsidiaries) are adjusted to assist in easy implementation of new compliance requirements.
    • Reporting structure: Reporting to the Head of External Finance

    Minimum Requirements    

    • CA(SA)
    • 2 to 4 years of post-qualification experience
    • Experience in a JSE listed company advantageous
    • Management accounting experience advantageous
    • Financial and tax regulatory experience advantageous
    • PowerPoint experience
    • Microsoft Excel intermediate
    • BPC / SAP advantageous

    Duties and Responsibilities    
    Key responsibilities

    • Responsible for the bi-annual and annual end to end external Group reporting process, ensuring compliance with all relevant regulatory requirements (IFRS, Company’s Act, JSE listing requirements etc.) and ensuring reporting timelines are strictly adhered to
    • Responsible for the bi-annual timeline completion of the full suite of financial publications, with timeous submission to the JSE and shareholders
    • Responsible for all financial information contained in the annual and interim external suite of financial publications (IAR, AFS, summarised AFS, shareholders booklets, SENS announcements etc.), including all supporting schedules and notes to the financial statements and accounting policies
    • Responsible for a timely and efficient typesetting process of all external financial publications - ensuring continuous innovation and improvement in typesetting process, ensuring costs are kept to a minimum
    • Responsible for the completion of statutory annual financial statements of all entities within the Group, ensuring that the general ledger caters for this process and that no manual intervention or adjustments are needed. If needed, the GFA will investigate and drive the implementation of new processes to ensure that this requirement is met
    • Ensuring the compliance of all statutory annual financial statements with regulatory requirements. Communicating annually (and ad hoc when required by new IFRS events) technical guidelines to the finance team of current and future technical IFRS requirements
    • Group Financial Technical champion - informing accountants throughout the Group of technical updates, create and manage the interpretation papers of IFRS or other regulatory requirements by compiling the inputs of all relevant parties and managing feedback from the external auditors, and ensuring implementation of new accounting standards across the Group
    • Assisting with the calculation and proposal of dividend declarations and run end to end process. Processing all journals on SAP and related systems ensuring that legal and tax requirements are met, initialising and driving the process and initiating the interaction with the legal and tax departments.
    • Control and maintain all consol journals, ensuring an understanding of each journal posted
    • Control and maintain general ledger account hierarchy, ensuring consistent and appropriate use within the group
    • Control and maintain intergroup balances and transactions, ensuring appropriate process are maintained to enhance the consolidation process of ensuring that all intergroup balances and transactions are eliminated on consolidation
    • Calculate and supply profit forecasts for all provisional tax payments at the relevant time periods
    • Assist with all informational queries regulatory or legal bodies in reference to financial information published in the annual report or statutory AFS
    • Ensuring that all BEE reporting relating to financial information is supplied in line with required timelines
    • Providing regular and direct assistance to the CFO regarding regulatory financial reporting
    • To identify and alert the Head of External Finance of any irregularity, lack of adherence to process and procedures, weakness in internal controls, and any actual or potential concerns arising out of the financial and operational reporting
    • Keep up to date with IFRS standards and all accounting concepts, practices, and procedures
    • Assist with external analyst/investor queries, as required
    • Assist PnP Group Reporting team in meeting Group Reporting deliverables, as required
    • Ad hoc tasks as required by Head of External Finance and CFO
    • Play a role in tax compliance

This role will be situated at our Head Office in Westville, KwaZulu-Natal.

    As the Company Secretary, you will be responsible for ensuring that the company complies with all legal and regulatory requirements applicable to a publicly listed company on the JSE. You will act as a primary point of contact between the board of directors, management, shareholders, and regulatory authorities. Your role will involve managing corporate governance processes, facilitating board meetings, maintaining statutory records, and overseeing compliance with relevant laws and regulations.

    Minimum Requirements    
    Qualifications and Skills:

    • Bachelor's degree in Law, Business Administration, CA (SA) or related field. A postgraduate qualification in Corporate Governance or Company Secretarial Practice is preferred.
    • Membership with the Chartered Governance Institute of Southern Africa (CGISA) or similar professional body is required.
    • Proven experience as a Company Secretary in a publicly listed company, preferably within the retail sector.
    • In-depth knowledge of corporate governance principles, JSE listing requirements, and relevant legislation, such as the Companies Act and King IV Code of Corporate Governance.
    • Strong communication, interpersonal, and organizational skills.
    • Strong financial acumen
    • Proven experience in working with finance and legal teams
    • Proven investor relations experience
    • Attention to detail and ability to work under pressure and meet deadlines.
    • High ethical standards and integrity.

    Corporate Governance:

    • Develop, implement, and maintain effective corporate governance policies and procedures in accordance with JSE listing requirements and relevant legislation.
    • Provide guidance to the board of directors and management on corporate governance matters.
    • Ensure compliance with the company's memorandum and articles of association.

    Board Support and Administration:

    • Coordinate and organize board and committee meetings, including preparing agendas, minutes, and board packs.
    • Serve as a liaison between board members and management, facilitating communication and ensuring timely dissemination of information.
    • Assist with the induction and training of board members on their duties and responsibilities.

    Regulatory Compliance:

    • Stay informed about changes in relevant laws, regulations, and listing requirements, and ensure the company's compliance.
    • Prepare and file statutory returns and disclosures required by regulatory authorities, such as the JSE and Companies and Intellectual Property Commission (CIPC).
    • Manage the process of obtaining approvals for key corporate actions and transactions.

    Shareholder Relations:

    • Manage communications with shareholders, including responding to inquiries and facilitating the dissemination of information.
    • Coordinate the organization of annual general meetings (AGMs) and other shareholder meetings, ensuring compliance with legal requirements.

    Record Keeping and Documentation:

    • Maintain accurate and up-to-date statutory records, including registers of shareholders, directors, and beneficial owners.
    • Ensure proper documentation of board decisions, resolutions, and corporate actions.
