Provide expert guidance and support to the Board, committees, and Executive Management on governance and legal matters.
Facilitate Board strategy sessions, efficacy reviews, and ensure effective alignment of Board and Executive functions.
Ensure statutory compliance and manage legal, governance, and risk frameworks.
Oversee meeting management, minute-taking, and reporting for shareholders and Board meetings.
Manage Board member tenure, auditor appointments, and reporting obligations to Parliament and stakeholders.
Lead litigation matters with external counsel support.
Develop and maintain business ethics, whistleblowing policies, and company codes of conduct.
Provide legal advice and risk management inputs on contractual negotiations.
Coordinate induction for new Board members and maintain statutory records and registers.
Represent the organisation externally to stay abreast of industry developments.
Lead and develop the Company Secretariat team to deliver high performance aligned with organisational goals.
Job Requirements
A minimum NQF level 8 formal qualification in Commerce / Law / Corporate Governance or equivalent.
Registration as a Chartered Secretary (CIS).
A Master’s Degree / MBA / MBL or equivalent will be an added advantage A minimum of 7 - 12 years’ experience in Company Secretariat roles at executive level in public sector organisations.
Extensive experience in rendering corporate governance, risk management, internal controls, legal advisory and relevant company secretarial functions to Governance Structures.
In-depth knowledge of the Companies Act, King IV Report on Corporate Governance, PFMA, CSOS Act, Treasury Regulations and other relevant legislation.
Exceptional communication skills; able to build and maintain trust with Board, CEO, and Executive Management.
