    Learning And Development Administrator

    Overall job purpose
    To support the Industry Learning and Capacity Building team with the administration of certificate programmes and any further projects related to learning and capacity development in the payments industry. The role will work on administration, student, and faculty support and subject matter expertise support. Working together with the Learning and Development Specialist to run the Payments Association of South Africa (PASA) Certificate programmes by developing calendars, registering students, ensuring payments are made, running virtual sessions, and managing the Academy inbox. Ad-hoc requirements relating to the delivery of the Capacity Building Strategy and Plan.
     

    Responsibilities:

    • Develop and manage the project plans, repository, and sharing of access with internal and external stakeholders for all programmes that need to be managed.
    • Develop project plans for all projects, update plans, distribute action items and follow up, and ensure version control.
    • Scheduling recurring and ad-hoc meetings for all programmes.
    • Work with the Manager to create programme reports for each intake that contribute to the scorecard and PASA report.
    • Track all data and stats for programmes and students.
    • Co-create and manage programme calendars.
    • Co-create and support orientation, graduations, Subject Matter Experts (SME) sessions, and faculty sessions.
    • Help to drive project outcomes and deadlines through project plans, action items, and follow-ups.
    • Coordinates and collaborates solutions for challenges.
    • Manages the Academy inbox with Learning and Development Specialist.
    • Solves for or escalates technical and content queries.
    • Assists with planning, implementation and management of new learning projects which may include for example new PASA learning platforms.
    • Understand finance systems and process flows.
    • Works with the registration system and processes registrations.
    • Engages with students , their companies finance and procurement teams and PASA Finance to raise and process invoices.
    • Tracks progress of registrations against targets and engages with manager around marketing of programmes.
    • Processes marksheets, statement of results, certificate lists for graduation.
    • Understands programme architecture and provide insights on improvements and changes.
    • Support faculty and students.
    • Understands the assessment process.
    • Understands procurement policy, and manages the processing of invoices through requisitions. Ensures timeous payment of faculty.
    • Manages multiple stakeholders' needs, priorities and expectations through strong communication and interpersonal skills.
    • Collaborates with multiple stakeholders to understand Compliance, Risk and Governance and Finance policies as they apply to our systems and processes.
    • Ad-hoc admin related to all projects the Industry Learning and Capacity building team manage.

    Key attributes:

    Education and experience

    • 5+ years of experience as a learning or faculty administrator.
    • Relevant project co-ordination experience will be advantageous.
    • Experience in student Learning Management Systems or Student Information Systems.
    • A relevant tertiary qualification from a recognised Institution.

    Knowledge:

    • Strong knowledge of project management tools
    • Knowledge of various components of event planning
    • Strong facilitation presentation knowledge and skills to run meetings, develop action plans, report and raise risks.

    Senior Legal Counsel - JHB

    Overall Job Purpose

    • Under the administrative direction of the Executive Legal Officer, represents and advises Payment Association of South Africa (PASA), PASA Council and staff in all legal matters pertaining to the daily operations of the National Payment System (NPS) and PASA.
    • To establish and facilitate key relationships with interested parties, participants and stakeholders both on a local and international level, to receive and provide guidance/input on the legal and governance foundation of the NPS in South Africa being the South African Reserve Bank (SARB) Act, NPS Act, the PASA Constitution, PASA Policies and Position Papers, Payment Clearing House (PCH) Agreements, PCH Clearing Rules and Service Level Agreements and other.

    To use specialised legal knowledge to develop, maintain and review legal documentation that governs compliance and support to the expanding role and mandate of PASA. Such documentation would be PASA Policies and Position Papers, PASA Constitution, PCH Agreements, PCH Clearing Rules, Service Level Agreements and legislation such as the Protection of Personal Information (POPI) Act, Financial Sector Regulation Act, Cybercrimes and Cybersecurities Bill, etc.

    Key Stakeholder Management including Communication and Interaction

    Internal:  PASA Council, PASA Executives, Relevant Committees and Workgroups, PASA Functional areas

    External: PPASA members and non-members, Payment Clearing House Participant Group (PCH PG) representatives, Payment System Operators (PSOs), System Operators (SOs) Third Party Payment Providers (TPPPs), South African Reserve Bank (SARB), National Treasury, Financial Sector Conduct Authority (FSCA), International Payment System Bodies and Regulators.

    Responsibilities
    Core Accountability 1.
    Represent and advise PASA internal staff on legal matters 
    pertaining to the South African National Payment system and enabling the achievement of the strategic direction and expansion of PASA’s mandate. Engage in continuousness consultation of such legal matters with both local and international key stakeholders:

    • Serves as legal counsel to PASA; advises Staff in legal matters pertaining to their offices and meeting their fiduciary responsibilities.
    • Researches, prepares and presents legal opinions pertaining to the regulation and governance of the South African National Payment System.
    • Ensures that activities of PASA are legally sound and in accordance with the governing rules and regulations.
    • Assists in the representation and preparation of PASA in litigation, dispute hearings and other legal matters; consults with external counsel, as appropriate, on matters related to PASA.
    • Regularly engage and facilitate strategic dialogue to ensure legislative compliance of the preferred strategic direction by PASA and the South African Reserve Bank affecting key stakeholders.

    Core Accountability 2.
    Form and engage in meaningful relationships with key stakeholders 
    to provide legal and governance guidance on risk reduction and improvement measures in the National Payment System

    • Establish and maintain legal forums/mechanisms to allow for meaningful engagement with key stakeholders such as the South African Reserve Bank, South African National Treasury, Financial Sector Conduct Authority, PASA members and other Stakeholders etc.
    • Advise PASA and relevant stakeholders on legal technical matters relating to the drafting and finalisation of legislation governing or related to the South African National Payment system.
    • Develops legal education programs informed by thought leadership and best practice and facilitate road show sessions with key stakeholders to provide guidance on key legislation.

    Core Accountability 3.
    Use legal knowledge to draft, review and implement legal documentation 
    that governs the compliance and support to the expanding role and mandate of PASA

    • Responsible for the development and implementation of PASA policies and Position Papers, PASA Constitution, Payment Clearing House Agreements, PCH Clearing Rules, Service Level Agreements, Constitution and draft improvements to keep up with changing circumstances in the Payments industry.
    • Responsible for the development and review of PASA’s Regulatory compliance framework.
    • General legal drafting (e.g. service agreements, confidentiality agreements etc.

    Core Accountability 4.
    Support to the Executive Legal Officer to ensure the performance of the legal function

    • Regularly evaluate the functionality and duties of the legal function to ensure alignment to strategy and the expansion of PASA’s mandate.
    • Develop, implement and maintain the Legal functions goals, objectives, policies and priorities, ensure that established goals and priorities are achieved.
    • Providing research and training.

    Core Accountability 5.
    Support to the Executive Governance, Legal and Compliance to regularly report on the Regulatory compliance of PASA to Chief Executive Officer

    • Ensure PASA overall complies with relevant legal and statutory requirements.
    • Prepare and frequently report on compliance matters in consultation with the Compliance manager within the team.

    Education and Experience Required:

    • 8-10 years hands on experience within a Payment System ECO-SYSTEM, with at least 5 years in senior managerial or general management role, leading a team on specific projects.
    • A formal applicable post tertiary qualification – LLB degree or Similar recognised law degree. Master’s degree is preferred.
    • Admitted attorney, advocate.

    Junior Company Secretary And Administration Assistant

    Job Purpose 
    To act as a Company Secretarial Administrator who supports the Company secretary with minute taking, transcription, and minute review. The incumbent will align to international and national best practices with good corporate governance principles, in compliance with the Companies Act (where appropriate) and King IV.

    To build out the governance structures and processes for the Payments Industry Body (PIB), in adherence to the approved PIB Design, while retaining stakeholder support and involvement.

    Job Responsibilities

    To support the Company Secretary with the following:  

    • Guide Payment Association of South Africa (PASA) Councillors on their duties, responsibilities, and powers. 
    • Make PASA Councillors aware of laws which affect PASA and them in their capacities. 
    • Report any failure to the PASA Council to comply with the PASA Constitution and legislation where appropriate. 
    • Assist the Nomination and Induction Committee to ensure that the procedure for the appointment of Councillors and the management of conflicts of interest are properly carried out. 
    • Assist in the proper induction, orientation, ongoing training and education of Councillors. This may include assessing the training needs of Councillors in their fiduciary and other governance responsibilities. 
    • Provide a central source of guidance and advice to PASA Council and Councillors, and within PASA, on matters of good governance and of changes to policies and legislation. 
    • Have a direct channel of communication with the Independent Chairperson and Deputy Chairperson and be available to provide comprehensive practical support and guidance to Councillors, with particular emphasis on supporting the independent non-executive Councillors, the Chairperson and Deputy Chairperson of Council and the chairs of Council Subcommittees. 
    • Ensure that Council, Council Subcommittee and PASA Structure Constitutions are kept up to date. 
    • Ensure the scheduling of all Council, Council Committee meetings and meetings of the Executive Committee for the year. The Company Secretary prepares the agendas and work plans for these meetings in conjunction with the Chairperson and/or key Executive. 
    • Ensure that meeting papers are circulated timeously to all Councillors to enable them to prepare adequately for these meetings. 
    • Take responsibility for the minutes, feedback reports and matters arising schedules for PASA Council and its Committees. Minutes are to be circulated in a timely manner, after the approval of the Chairperson.

    Qualifications 

    • A relevant tertiary qualification.
    • A Company Secretariate qualification would be advantageous.
    • Registration with the Institute of Company Secretaries of Southern Africa (ICSA) will be an added advantage. 

    Experience 

    • Experience as company secretary is compulsory (5 years minimum) 
    • Administration expertise working with corporate governance is preferred

    Knowledge 

    • Highly proficient in all MS Office applications
