    Treasury and Trade Solutions Legal Advisor

    Job Description

    • To draft legal agreements covering banking facilities, products and services provided to customers of the bank
    • To ensure professional judgement is applied in the giving of legal advice and opinions on the legal aspects applicable to products, services, solution development and deal structuring for treasury and trade solutions transactions
    • Continued research into various aspects of the laws, industry best practice and regulatory framework impacting on the legal viability of the transactions being considered. 
    • The Legal Advisor is accountable to provide legal advice on moderate to complex legal matters with a financial impact and to identify and manage the legal risk associated with such transactions.
    • Legal implementation of vanilla and structured short-term transactions.
    • Advising the bank on the legal aspects of transactions as well as continued research into various aspects of the law and regulatory framework impacting on the legal viability of the transactions.
    • Provide highly specialised legal advice or support in relation to client and the terms and conditions related to the transaction being successfully completed.
    • Identifying and liaising with external attorneys to prepare the necessary documentation, reviewing these and negotiating with the client and their legal representatives to finalise the agreements.
    • Ensure compliance with internal legal and other procedures and policies.
    • Negotiating and drafting final agreements, pertaining to the product offering.
    • Provide legal Advice and support within this context includes the following legal services, technical analysis and application of legal and commercial principles to transactions/ products.
    • Perform expert drafting and reviewing of applicable documentation and agreements.
    • Developing and maintaining relationships with internal stakeholders and providers of legal services (including, external legal counsels, and other key stakeholders).
    • Staying up to date with all developments in the law, regulation, industry, and best practice in the relevant area of specialist legal practice.
    • Identify, monitor, report and minimise potential legal, reputational, and associated operational risks.
    • Develop, encourage and nurture collaborative relationships across business areas and across the group Provide input into, and implement, corporate governance, compliance, integrity and ethics policies in are of accountability to identify and manage risk exposure.
    • Stays abreast of relevant industry risk management best practices and legislative amendments and suggests ways to leverage these to ensure continuous improvement.
    • Develop tactical strategy and delivery plans in support of functional strategic objectives in partnership with leadership.
    • Participate in planned activities that are appropriate for own and employee development.

    • Design and hedging of complex derivatives and financial instruments by keeping abreast of developments in financial markets, financial mathematics, accounting standards, legislation and statutory requirements.     Are you someone who can: 

    • Finding opportunity to originate deals by remaining alert to banks and clients’ problems.
    • Scenario-plan with the team to identify opportunities.
    • Identify potential problems and advise client and bank accordingly.
    • Manage multi-disciplinary approach to problem-solving.
    • Simplify complex back-end constraints for cohesive front-end solution.
    • Price products and check consistency with the market.

    • Understanding both Institutional and Corporate clients and their requirements.
    • Technical Structurer may also manage less experienced Technical Structurers.
    • Interact with relevant sales desk to ensure quick and efficient pricing of required transactions.
    • Liaise with Traders confirming levels, liquidity and other market information as a transaction becomes more live.
    • Book transactions in the relevant trading systems ensuring the correct product construction.
    • Troubleshoot any downstream issues with infrastructure.
    • Liaise with middle and back office to ensure issues that arise are addressed or escalated promptly (continue throughout transaction life cycle).
    • Build and maintain professional working relationships with all stakeholders, displaying excellent abilities to initiate dialogue, listen, advise, influence and negotiate to achieve win-win outcomes.
    • Initiate meetings with key stakeholders to track progress, manage expectations and ensure stakeholders’ requirements are delivered.

    You will be an ideal candidate if you

    • Relevant Degree in Financial Mathematics, Statistics, or similar
    • 3 years plus experience in Derviatives and Financial Markets
    • Banking / Global Markets experience

    Private Equity Transactor

    Job Description

    • To identify attractive investment opportunities in private companies with a view to selling them in five to seven years to maximise the profit for the bank
    • Maintain strong relationships with the management team co-investors and financiers
    • Ensure governance and incentive structures are appropriate
    • Nurture potential exit opportunities
    • Optimise balance sheet
    • Ensure appropriate capital structures for all strategies
    • Ensure succession planning is in place
    • Evaluate market for potential acquisitions and disposals
    • Provide strategic insight and align strategy with capital structure
    • Seek and evaluate opportunities for disposals and growth opportunities
    • Devise a commercial offer that is feasible for all parties
    • Develop an investment thesis
    • Obtain preliminary approval for the proposed offer from Private Equity team
    • Prime the business for exit
    • Identify prospective buyers and exit mechanisms
    • Follow through on executing successful exit
    • Devise a programme of work to ensure all significant risks are identified and quantified through
    • Appoint appropriate third party advisors as necessary
    • Coordinate the process according to tight deadlines and budgets
    • Ensure that direct commercial due diligence is completed by the team
    • Manage the funding process including equity and debt
    • Analyse all due diligence information and synthesise into a cohesive investment report
    • Submit investment report to the team and RMB
    • Investment Committee for approval
    • Negotiate a set of legal agreements that give effect to the finally approved offer
    • Ensure that debt and equity funding has been raised
    • Ensure management deal is approved
    • Ensure all regulatory approval has been obtained
    • Ensure there are legal agreements in place with all parties and executed
    • Ensure all internal sign offs are obtained
    • Establish and maintain internal and external networks for deal leads
    • Scan the market for possible opportunities
    • Devise a financial model to establish valuation ranges and returns
    • Benchmark against other market valuations
