    General Manager: Group Capital Management

    Core purpose of the Job

    The General Manager Group Capital Management role is accountable for capital allocation, utilization and investment returns for the Group and its markets with the objective of enhancing the MTN Group portfolio of capital assets and shareholder value.

    The role is responsible for:

    • Establishing and instituting capital strategy, budgeting, operations and governance Group, in line with the company goals and objectives
    • Evaluating potential equity related transactions including multiple asset acquisitions, disposals, mergers or other strategic initiatives
    • Management and reporting of capital allocation, utilization and returns monitoring for group-led investments and opportunities
    • Overseeing local governance and control of capital management, including but not limited to Capital Allocation and Management Committee (CAMC) funding decisions • Independent and objective capital investment insights, evaluations, opportunities and potential risks related to capital management to the respective Group Finance/Steering Committee Leadership

    The role reports to the Executive – Group Business Finance and is supported by a team capital management specialist who will be responsible to manage and execute on strategic objectives, balance capital portfolio, achieve sustainable returns on investment and to continuously improve the capital performance. Further, the role will also be responsible to institute/improve governance practices of respective Group and Local Capital Allocation governance committees, through the respective local Finance teams, Group Finance Divisions and Regional Vice President Offices.

    Key Performance Areas: Core, essential responsibilities / outputs of the position (KPA's)

    As a leader in the Group Business Finance vertical, the role is holistically responsible to lead, direct and operationalize capital management strategy, governance, monitoring and reporting for the Group. Key areas of responsibilities of the role have been broadly classified into three accountability areas as detailed below:

    Strategic Capital Management

    • Establish, continuously improve and institute the Group capital strategy aligned to MTN’s strategic imperatives, in conjunction with the respective Group Finance Leaders
    • Determine, implement and cascade the appropriate target capital portfolio mix, capital performance / investment returns models and governance reporting protocols to support capital management strategy
    • Lead, implement and cascade a sound and sustainable capital management framework, principles/guidelines for allocation, defining the DoA based on capital threshold limits, capital evaluation criteria and approver conditions. Periodically review, benchmark and adjust the framework to reflect leading class practices and business priorities
    • Work closely with the MTN Group Finance leadership, OpCo and existing Capital Management Committees (E.g Capital Allocation Management Committees – CAMC) to review strategic direction, optimize portfolio capital spend and build enterprise-wide capex capabilities for better capital management
    • Responsible advise leadership on optimum balance of capital allocation for maturing vs new business units / opportunities across the Group. Maintain a fair and equitable balance of capex allocation to business unit / Opcos, considering the short/medium/long terms benefits/returns
    • Lead research, advanced financial data modelling, industry benchmarking of capital allocation and performance metrics to continuously improve capital strategies, evaluation frameworks, cost/risk/returns targets and investment viability models.
    • Accountable to lead, implement and cascade clear capital cost and revenue allocation principles, agreements and conditions to ensure accurate and consistent financial reporting over capital, in collaboration with Group finance operations, finance business partnering and FP&A teams to establish.
    • Responsible to ensure long-term capital investment portfolio is consistent with MTN’s strategic priorities and provides an optimum balance with respect to the risk appetite of the organization.
    • Institute a rigorous and holistic capital performance monitoring framework enabled by digital and agile techniques. Implement monitoring/early warning indicators, governance mechanisms and reporting protocols in the Group and Opcos to support effective capital performance management
    • Serve as an independent advisor to the Group Business Finance Executive, Group CFO, Opco CFOs, Regional Vice Presidents and Group EXCO as required to:
      • Support strategic capital allocation and investment decisions
      • Support with insights on capital portfolio risk vs. return vs. shareholder value
      • Undertake timely actions based on early warning indicators for major capital investments
      • Support capital funding decisions and activities

    Capital/Investment Portfolio evaluation and selection

    • Lead the design, implementation and cascading of capital evaluation and selection frameworks to Group/Opco Finance Teams and Capital Committees, comprising of (but not limited to):
    1. Business drivers and recommended capital mix to improve the quality of assumptions to evaluate individual business cases and major investment projects
    2. Minimum project evaluation criteria, financial & performance estimation models applicable to difference investment categories
    3. Continuous monitoring metrics for critical/long term projects at Group and Opcos
    • Lead independent evaluation of high value/critical Investment proposals by reviewing the strategic profile (growth potential and fitment with the overall business strategy), financial profile (expected project return and short-term impact on EBIT), risk profile (payback time and assessment of market risks), and resource profile (fitment with existing capabilities)
    • Independently monitor, provide executive dashboards & insights to Group Leadership to support timely decision making. This includes reporting on high value/critical Investment Projects (Group and Opcos) with respect to quality of the estimates, risk/cost/returns ratios, the variability of cash flows, and the payback profile over time
    • Oversee out-of-budget capital projects (as per thresholds) and provide independent insights to the Capital Committee for final approval / recommendation

    Job Requirements (Education, Experience and Competencies)

    Education:

    • Minimum of 4 year tertiary degree in Finance/ Commerce/ Accounting (mandatory)
    • Qualified Chartered Accountant/Chartered Finance Analyst/Relevant Financial Management Professional Qualification (preferred)
    • Postgraduate qualification/MBA (Advantageous)
    • Relevant certification / accreditation / membership with professional body in Finance and Accounting bodies

    Experience:

    • 5 years senior management experience or more; with at least 3 years in the ICT Industry-Finance domain (understanding emerging markets advantageous)
    • Experience working in a global/multinational enterprise in a medium to large enterprise
    • Worked across diverse cultures and geographies

    General Manager: Group Finance Controls and Innovation

    Mission/ Core purpose of the Job

    The General Manager: Group Finance Controls and Innovation is accountable to lead, manage and sustain a sound and prudent Internal Finance Operations Risk and Control environment across the Group. The role is also accountable to lead the finance digital and innovation strategy with the objective of integrating, improving efficiencies and maximizing value across the finance operations lifecycle. Core responsibilities include:

    • Establish, institute and implement the Group Internal Financial Operations Risk and Control strategy, policy and framework across MTN Group (Businesses and Opcos). Lead and champion adoption across the Group with a well-defined control monitoring framework to ensure its successful implementation
    • Custodian and lead owner for the Group-wide finance operation digital and innovation strategy, in collaboration with other Group Finance verticals the Group IT. Responsible to affect a uniform and integrated finance-tech approach to enable maximize processing efficiencies, data and reporting accuracy, transactional traceability and automation of controls.
    • Responsible for future modernization of the Finance function by steering business model, operating model, finance inn and control environment decisions, in line with leading and emerging industry practices

    The General Manager: Group Finance Controls and Innovation role reports to the Executive: Group Finance Operations and Control and is supported by two operations consultants

    Key Performance Areas: Core, essential responsibilities / outputs of the position (KPA's)

    The General Manager: Group Finance Controls and Innovation leads the Internal Finance Operations Risk and Control environment and the Finance digital and innovation strategy for the Group. As a Departmental lead, the role is responsible integrate, improve efficiencies, strengthen the control environment and maximize value across the finance operations lifecycle. Core responsibilities are broadly defined across the two accountability areas:

    Internal Financial Controls

    • Custodian of the Group Internal Financial Control strategy, governance, framework and operational design across the Finance Operations lifecycle and value chain. The role is responsible for the design, cascade and effective monitoring across Group, businesses and markets.
    • Accountable to design and manage the internal financial control model, environment practices and controls based on a comprehensive risk assessment of operations, processes, policies, governance practice of financial processes. Identify opportunities to improve, enhance and upgrade based on internal and external conditions, audit findings and other inputs.
    • Work closely with the Group Company Secretary to define Group Finance Operational and Transactional DoAs/RAPIDs and provide recommendations for Business/Opco Finance Ops DoAs/RAPIDs
    • Establish, obtain leadership consensus and implement clear governance, reporting and monitoring standards and internal control operational policies for across Group, businesses and markets.
    • Establish the internal control governance framework with clearly defined roles and responsibilities, accountability of Group, Businesses and Opcos for effective implementation and compliance to the control environment. Establish reporting measurements, protocols and governance structures.
    • Proactive strategic evaluations of company strategy, business plans and strategic targets to continuously evolve, enhance ad optimize the financial control environment.
    • Establish and closely with Group business risk management teams to determine the yearly / half-yearly / quarterly control testing schedule based on the prioritized controls and risk exposure in Group and across Opcos
    • Institute and implement financial control dashboards comprising of indicators, KPIs, risk-thresholds and failure-alert mechanisms to enable early risk/control failure identification, course correction and improvements in the control environment.
    • Identify opportunities and drive implementation of advanced risk and control analytics models, automated transactional control activities and intelligent risk/control reporting technologies to enhance quality and efficacy of the control environment.
    • Collaboration with the Group Business Finance, Tax, Treasury, Revenue Assurance & Fraud Management and Supply Chain teams to enable an integrated finance control framework and to identify opportunities for finance value chain control synergies.
    • Serve as the lead financial control sponsor for finance-related Cloud/ERP designs and implementations to ensure desired GRC requirements for finance operations are achieved
    • Responsible to generate and where applicable, present leadership/executive reports, presentations and data, supported with insights and recommendations to enable decision making as it relates to the internal finance control environment.
    • Independently conduct and report on finance operations control-environment reviews in select markets/operations units (sample basis) to assess compliance and quality of control environment
    • Serve as an advisory and SME to Finance stakeholders responsible for maintaining and executing on the internal financial control environment. This includes Group Finance Leads, Regional VP Offices, Opco Finance Leads
    • Accountable for consistent adoption, change management, training and talent skill development in the internal financial controls across businesses and markets

    Finance Digitization and Innovation

    • Custodianship and accountability for the Group Finance Operating Digital and Innovation Strategy and corresponding transformation initiatives. Collaborate and synergize the strategy with other Group Finance value-chain leaders, Opco Finance Teams, ERP/Cloud Transformation teams and Group IT.
    • Lead development of the Group finance digital transformation roadmap, outlining digital journeys, priority programs, investments/ budgets and anticipated return on investment. Seek management consensus and approval to successfully deploy the roadmap.
    • Periodically assess (in conjunction with IT/Financial system specialist teams) ‘as is’ to the target systems landscape, including analysing financial systems, data infrastructures, business processes, interfaces and operational, maintenance
