    Interim Deputy Company Secretary (6 Months Contract)

    Job description

    • Provide strategic advisory services in relation to secretariat services to the Board and Executive Management Advise the Board collectively and individually of their legal rights and obligations in relations to matters of their responsibilities and law (OBP Act as amended, PFMA, etc), and good corporate governance
    • Prepare, collate and distribute Board and Committee charters and work plans Responsible for the preparation of meeting agendas, taking of minutes and distribution thereof, circulation of action list on resolutions Monitor all legislative, regulatory and corporate governance developments that might affect the OBP’s operations, and ensure that the Board is fully briefed on these
    • Ensure the publication and maintenance of standard protocol document for Board Develop and ensure maintenance of the Board and Committee’s charters and terms of reference Provide support and advice on all matters required by the Board. Develop and implement a Board and Board Committee induction training programme and assist with the induction of new Board members into the organisation.
    • Assist in the preparation of a comprehensive budget for the Governance Unit Administer the funds of the department according to the approved budget and prepare and submit monthly management reports. Monitor budget expenditure and take corrective action when necessary
    • Assist with tabling regular feedback to EXCO and Board (and its committee/s relevant to the work of the Department) with regards to the operations of the Department
    • Assist with collation of annual performance report for the OBP to the Board and DoA as appropriate. Monitor and present Quarterly Review Reports and Analysis against the performance plan and in relation to the work of the Department Build and maintain effective internal and external strategic stakeholder relationships for the purpose of expectations management, knowledge sharing and integration, and to manage the organisation’s reputation.
    • Lead the mitigation of the division’s risk profile through timeous identification of internal and external factors, the application of fraud controls and risk prevention principles, and implementing of sound governance and compliance processes and tools to identify and manage risks.

    Minimum requirements

    • An LLB qualification or equivalent qualification Company Secretarial Certificate will be an added advantage Admission as Attorney/Advocate (Advantageous)
    • A minimum of 7 years’ relevant experience in practice with a corporate entity 3 years experience in managing a secretariat department Extensive Corporate Governance, Compliance, Legislative Framework environment experience.
    • Knowledge of legal and regulatory requirements affecting public entities, corporate governance instruments and guidelines (e.g. KING Reports) Familiarity with system/ process documentation.

    Business Performance Manager

    Job description

    • Contribute towards the development, implementation and monitoring of the OBP Organisational strategy and objectives. Translate the corporate OBP strategy into measurable objectives and KPIs for all departments.
    • Facilitate annual and quarterly planning sessions to ensure alignment across functions. Support scenario planning and forecasting to anticipate market and operational changes. Ensure integration of performance metrics into departmental plans and budgets. Drive cross-functional collaboration across all departments within OBP to achieve strategic priorities.
    • Design and implement performance monitoring frameworks aligned with organisational strategic objectives. Develop and maintain organisational scorecards and dashboards for real-time tracking. Conduct periodic performance reviews with business units and senior leadership. Identify trends, risks, and opportunities through data-driven analyses and business insights. Recommend corrective actions and improvement initiatives to close performance gaps.
    • Develop a structured timeline and workflow for monthly, quarterly and annual report preparation. Coordinate contributions from all departments, ensuring consistency and compliance for all required reporting. Lead the creation, review and formal submission of all standard reports in line with policies, procedures and reporting standards.
    • Liaise with external auditors and regulatory bodies as required. Implement process improvements for more efficient and transparent reporting. Compile performance deviation reports for EXCO quarterly.
    • Proactively implement initiatives aimed at optimising and automating the reporting process for OBP. Develop and enforce standardized reporting templates and guidelines across the organisation. Align internal reporting standards with industry best practices and regulatory requirements
    • Represent and participate in the organisation’s executive committees and task teams when required. Lead, chair and attend meetings and present findings and business cases to relevant strategic stakeholders when required. Oversee the division’s relevant departmental budgets to ensure alignment to the organisation’s revenue and efficiency objectives. Ensure the costs are contained while maintaining high levels of impact and performance.
    • Lead the mitigation of the division’s risk profile through timeous identification of internal and external factors, the application of fraud controls and risk prevention principles, and implementing of sound governance and compliance processes and tools to identify and manage risks.

    Minimum requirements

    • Postgraduate (Honours) qualification in Planning, Monitoring & Evaluation; Business Management; Data Science or a related field NQF 8. MBA or Equivalent Qualification is advantageous South African Monitoring and Evaluation Association (Advantageous)
    • At least 7 years’ relevant experience in a Business Performance, Monitoring and Evaluation environment.
    • Must include at least 2 years’ supervisory or managerial experience. Relevant exposure to managing organisational performance strategy and operational plans.
    • Good understanding and experience of general data mining principles. Proficiency in relevant data analysis tools (Excel, Power BI etc.), performance frameworks, and reporting standards. Demonstrated proficiency in statistical modelling techniques Demonstrated proficiency in working with quantitative and qualitative analyses and reporting.

    Compliance Officer

    Job description

    • Review and evaluate the relevance and adequacy of organizational policies to ensure alignment with regulatory requirements. Assess internal practices and procedures for compliance and recommend improvements where necessary. Conduct periodic reviews of Standard Operating Procedures (SOPs) to maintain consistency and regulatory adherence.
    • Ensure full compliance with applicable laws, regulations, and industry standards. Develop and maintain compliance tools, including registers, frameworks, and processes, to effectively manage compliance obligations for OBP. Establish and maintain professional relationships with regulatory authorities and serve as the primary liaison for compliance matters.
    • Actively participate in internal and external forums where compliance issues are addressed. Design and implement annual compliance programmes tailored to organisational needs. Facilitate training sessions and awareness campaigns to promote understanding of compliance obligations across the organisation. Act as the primary point of contact for all compliance-related enquiries, including policies, procedures, and regulatory requirements.
    • Develop and implement an annual compliance risk management program to identify, assess, and mitigate potential risks. Deliver training and awareness initiatives focused on compliance risk obligations and best practices Conduct thorough investigations into incidents of non-compliance and prepare detailed reports outlining findings and recommendations.
    • Provide regular reports on compliance program status, including monthly and quarterly updates to management and relevant stakeholders. Ensure timely escalation and resolution of compliance issues in accordance with organizational protocols. Contribute towards the mitigation of the department’s risk profile by implementing sound governance and compliance processes and tools to identify and manage risks.
    • Assist in monitoring relevant changes in the regulatory environment and ensure that appropriate operational controls are implemented to address new requirements within scope of control.

    Minimum requirements

    • LLB Degree NQF 8  Compliance Institute Southern Africa or The Institute of Risk Management South Africa  
    • Minimum of 6 years’ relevant experience in performing similar Compliance functions within a Pharmaceutical / Manufacturing / Animal Health or relevant public sector environments.
