    Contracts Associate - Cape Town

    About this role

    • Assist the Contracts Manager in his/her duty to implement relevant contractual arrangements from financial close through the construction and operational phases of the Mulilo portfolio of projects.
    • Administration and management of legal workstreams
    • Assisting the Contract’s Manager in ensuring sound corporate governance procedures are adhered to

    Duties and responsibilities 

    • Assist the Contracts Manager in the management of the document handover and filing process following financial close of a project.
    • Assist the Contracts Manager in his/her duty to provide legal advice to the Asset Management Team and the implementation/renewal of corporate, management, financing, construction, operational and land agreements (or any other relevant agreements)
    • Support in drafting, reviewing and negotiating various legal documents, including (but not limited to) term sheets, mandates, insurance renewal terms, professional services agreements and non-disclosure agreements.
    • Support in drafting corporate governance documentation, including board reports, resolutions and documentation as may be required for submission to the Companies and Intellectual Property Commission, and assisting with the timeous filing of such documents.
    • Assist in the preparation for board and/or shareholder meetings.
    • Drafting and advising on notices, formal requests and other legal correspondence.
    • Coordination and management of legal processes associated with the projects as well as the Group entities (as may be required), including providing support to the Contracts Manager in ensuring timeous achievement of contract deliverables.
    • Conduct research on regulations, laws, and legal articles (as may be required)
    • Maintaining an up to date digital legal library wherein documents are organised / archived in a neat and easy to find manner
    • Support in the engagement and management of third party external legal advisors, including reviewing and advising on fee estimates, proposals and billing narratives.
    • Create and maintain a correspondence/notice register.
    • Create and maintain a risk register.
    • Preparation and drafting of contractual documents for execution (such as notices, etc.)
    • Creating standard form templates
    • Responsible for document management and control
    • Administration of contractual instructions (from the client and to the contractor in relation to the respective contracts)
    • Review and assist with claims process.
    • Prepare and maintain action trackers.
    • Implementing defects reporting procedures
    • Assisting with the preparation of and ensuring that project documentation is issued to relevant stakeholders as and when required
    • Tracking and assisting with the close out of punch list items post COD
    • Other general contract administrative duties as may be required from time to time

    Required skills and education background.

    • Bachelor’s Degree in Law / Diploma in Paralegal Studies
    • Minimum of 2 (two) years’ post qualification in practice experience
    • Renewable energy project experience within the South African market is preferable
    • Good oral and written communication skills
    • Methodical and analytical with a strong attention to detail
    • Good negotiation and decision-making skills
    • Commercial and solution orientated
    • Ability to work well in teams
    • Ability to work well under pressure
    • Ability to build and maintain good relationships with key stakeholders
